The appellant N incorporated a family holding company and immediately sold all of his shares in another company to it on a tax-deferred basis for the same number of Class “G” voting shares in the holding company. N’s wife was issued 99 non-voting Class “F” shares at $1 per share. At the first annual meeting of shareholders N’s wife was elected sole director of the holding company and N and his wife were appointed as officers. In 1982, the holding company received $20,000 in dividends on the shares it owned. A board of directors meeting was held at which N’s wife, pursuant to a discretionary dividend clause in the company’s articles of incorporation, declared a dividend of $5,000 to be paid on N’s Class “G” shares and another dividend of $14,800 to be paid on her own Class “F” shares. N’s wife immediately loaned him $14,800 and received a demand promissory note as security in return. N’s wife died in 1988. The loan was not repaid. The dividend income paid to N’s wife in 1982 was attributed to N as being a payment or transfer of property made pursuant to the direction of or with the concurrence of N as described in s. 56(2) of the Income Tax Act (ITA) and he was assessed tax on this income. N appealed his 1982 assessment to the Tax Court of Canada and in 1992 that assessment was vacated. The respondent appealed to the Federal Court, Trial Division without success, but a further appeal to the Federal Court of Appeal was allowed.
Held: The appeal should be allowed.
Section 56(2) of the ITA does not apply to the dividend income received by N’s wife. While s. 56(2) strives to prevent tax avoidance through income splitting, it is a specific tax avoidance provision and not a general provision against income splitting. It can only operate to prevent income splitting where the following preconditions to its application are specifically met: (1) the payment must be to a person other than the reassessed taxpayer; (2) the allocation must be at the direction or with the concurrence of the reassessed taxpayer; (3) the payment must be for the benefit of the reassessed taxpayer or for the benefit of another person whom the reassessed taxpayer wished to benefit; and (4) the payment would have been included in the reassessed taxpayer’s income if it had been received by him or her. McClurg v. Canada provides that as a general rule, s. 56(2) does not apply to dividend income since, until a dividend is declared, the profits belong to the corporation as retained earnings. The declaration of a dividend therefore cannot be said to be a diversion of a benefit which the taxpayer otherwise would have received. Such an entitlement requirement is consistent with the purpose of s. 56(2), which is to capture and attribute to the reassessed taxpayer receipts which he or she otherwise would have obtained. Unless a reassessed taxpayer had a preexisting entitlement to the dividend income paid to the shareholder of a corporation, the fourth precondition cannot be satisfied and consequently s. 56(2) cannot operate to attribute the dividend income to that taxpayer for income tax purposes.
Assuming that proper consideration was given for the shares when issued, there is no exception to the rule that s. 56(2) does not apply to dividend income where the recipient of the dividend income in a non-arm’s length transaction has not made a legitimate contribution to the corporation. The fact that a company is closely held or that no contribution is made to the company by a shareholder benefiting from a dividend in no way changes the underlying nature of a dividend. Dividends are paid to shareholders as a return on their investment in the corporation. Since the distribution of the dividend is not determined by the quantum of a shareholder’s contribution to the corporation, it would be illogical to use contribution as the criterion that determines when dividend income will be subject to s. 56(2). Further, taxpayers are entitled to arrange their affairs for the sole purpose of achieving a favourable position regarding taxation and no distinction is to be made in the application of this principle between arm’s length and non-arm’s length transactions.

L’appelant N a constitué une société de portefeuille familiale et lui a immédiatement vendu, selon une formule d’impôt différé, toutes les actions qu’il possédait dans une autre société, en échange du même nombre d’actions de catégorie «G» avec droit de vote de la société de portefeuille. L’épouse de N s’est vu émettre 99 actions de catégorie «F», sans droit de vote, au prix de 1 $ l’action. Lors de la première assemblée annuelle des actionnaires, l’épouse de N a été élue seule administratrice de la société de portefeuille, et N et son épouse ont été nommés dirigeants. En 1982, la société de portefeuille a touché des dividendes de 20 000 $ sur les actions qu’elle possédait. Le conseil d’administration a tenu une réunion au cours de laquelle l’épouse de N a, conformément à une clause de dividendes discrétionnaires énoncée dans les statuts constitutifs de la société, déclaré un dividende de 5 000 $ payable sur les actions de catégorie «G» de N, et un autre dividende de 14 800 $ payable sur ses propres actions de catégorie «F». L’épouse de N a immédiatement consenti à ce dernier un prêt de 14 800 $ garanti par un billet à demande. Celle-ci est décédée en 1988. Le prêt n’a pas été remboursé. Le revenu de dividendes versé à l’épouse de N en 1982 a été attribué à N comme paiement ou transfert de biens fait suivant les instructions ou avec l’accord de ce dernier, tel que prévu au par. 56(2) de la Loi de l’impôt sur le revenu (LIR), et N a été imposé sur ce revenu. N a interjeté appel devant la Cour canadienne de l’impôt contre sa cotisation de 1982, qui a été annulée en 1992. L’intimée a interjeté, sans succès, un appel devant la Cour fédérale, Section de première instance, mais a obtenu gain de cause devant la Cour d’appel fédérale.
Arrêt: Le pourvoi est accueilli.
Le paragraphe 56(2) de la LIR ne s’applique pas au revenu de dividendes reçu par l’épouse de N. Bien qu’il vise à empêcher l’évitement fiscal au moyen du fractionnement du revenu, le par. 56(2) constitue une disposition particulière relative à l’évitement fiscal, et non une disposition générale interdisant le fractionnement du revenu. Il ne peut s’appliquer pour empêcher le fractionnement du revenu que lorsque les conditions suivantes préalables à son application sont précisément remplies: 1) le paiement doit être fait à une autre personne que le contribuable à l’égard duquel une nouvelle cotisation est établie; 2) la répartition doit être faite suivant les instructions ou avec l’accord du contribuable à l’égard duquel une nouvelle cotisation est établie; 3) le paiement doit être fait au profit du contribuable à l’égard duquel une nouvelle cotisation est établie ou à une autre personne à titre d’avantage que ce contribuable souhaitait voir accorder à cette autre personne; 4) le paiement aurait été inclus dans le revenu du contribuable à l’égard duquel une nouvelle cotisation est établie si ce dernier l’avait reçu lui‐même. L’arrêt McClurg c. Canada prévoit qu’en règle générale le par. 56(2) ne s’applique pas aux revenus de dividendes étant donné que, jusqu’à ce qu’un dividende soit déclaré, les profits appartiennent à la société à titre de bénéfices non distribués. On ne saurait donc dire que la déclaration d’un dividende constitue un détournement d’un avantage dont le contribuable aurait autrement bénéficié. Une telle condition d’existence d’un droit est compatible avec l’objet du par. 56(2), qui est de prendre et d’attribuer au contribuable à l’égard duquel une nouvelle cotisation est établie les recettes qu’il aurait autrement touchées. À moins que le contribuable à l’égard duquel une nouvelle cotisation est établie n’ait eu un droit préexistant au revenu de dividendes versé à l’actionnaire d’une société, la quatrième condition préalable ne peut pas être remplie et, par conséquent, le par. 56(2) ne peut pas être appliqué de manière à attribuer le revenu de dividendes à ce contribuable aux fins de l’impôt sur le revenu.
À supposer qu’une contrepartie suffisante a été donnée pour les actions au moment de leur émission, il n’y pas d’exception à la règle selon laquelle le par. 56(2) ne s’applique pas à un revenu de dividendes lorsque le bénéficiaire du revenu de dividendes, dans une opération effectuée avec lien de dépendance, n’a fourni aucun apport légitime à la société. Le fait qu’une société soit une société à capital fermé ou qu’aucun apport ne soit fourni à la société par un actionnaire qui profite d’un dividende ne change rien à la nature fondamentale d’un dividende. Les dividendes sont versés aux actionnaires à titre de rendement du capital qu’ils ont investi dans la société. Étant donné que la distribution du dividende ne dépend pas de l’importance de l’apport fourni par un actionnaire à la société, il serait illogique de faire de cet apport le critère d’assujettissement du revenu de dividendes au par. 56(2). En outre, les contribuables ont le droit d’organiser leurs affaires dans le seul but de se trouver dans une situation favorable sur le plan fiscal et, pour appliquer ce principe, aucune distinction ne doit être établie entre les opérations effectuées sans lien de dépendance et celles effectuées avec lien de dépendance.

The appellant, a nursing assistant in a home for persons with psychiatric problems, was charged with sexual assault. He was alleged to have sexually fondled some mentally handicapped persons, by touching the genitals of two and the breasts of another. According to the evidence, the appellant, a former boxer, was jovial and liked to crack jokes. He had been an employee of the home for a number of years and was on familiar terms with the recipients, who liked him. He was responsible for the personal hygiene of two male recipients. According to the evidence, two victims objected spontaneously, while the third, who was profoundly retarded and had a passive personality, did not react.
Although the trial judge disapproved of the appellant’s conduct, he found that the fondling did not have the hostile nature of an assault and disclosed no real criminal intent. He acquitted the appellant. The Court of Appeal allowed the Crown’s appeal and convicted the appellant of the offence as charged.
The issue in the appeal is whether the Quebec Court of Appeal erred in law in interpreting the definition of sexual assault in light of all the circumstances of the instant case.

L’appelant, infirmier auxiliaire dans un foyer hébergeant des personnes souffrant de problèmes psychiatriques, est accusé d’agression sexuelle. Il aurait fait certains attouchements sur des personnes handicapées mentalement. Il aurait touché aux parties génitales de deux bénéficiaires et aux seins d’une autre. Selon la preuve, l’appelant, ancien boxeur, était jovil et aimait faire des blagues. À l’emploi du foyer depuis plusieurs années, il était apprécié des bénéficiaires et était familier avec eux. Il était en charge de l’hygiène personnelle des deux bénéficiaires masculins. Selon la preuve, deux victimes ont protesté spontanément, alors que la troisième, déficiente profonde ayant un comportement passif, n’a eu aucune réaction.
Le juge du procès, bien qu’il ait désapprouvé la conduite de l’appelant, a conclu que les attouchements ne comportaient pas le caractère hostile propre à une agression et ne révélaient aucune véritable intention criminelle. Il a acquitté l’appelant. La Cour d’appel a accueilli l’appel de la poursuite, et déclaré l’appelant coupable de l’infraction reprochée.
L’appel porte sur la question suivante: La Cour d’appel du Québec a-t-elle erré en droit dans son interprétation de la définition de l’agression sexuelle compte tenu de l’ensemble des circonstances du présent dossier?

Criminal law - Evidence - Whether the majority of the Court of Appeal erred in law in holding that the learned trial judge adequately explained to the jury, the position of the defence and related the evidence to that position - Whether the majority of the Court of Appeal erred in law in holding that the learned trial judge adequately related to the jury, his instruction on circumstantial evidence to the evidence adduced at trial.
The Appellant babysat the deceased, four year-old Valin Johnson, from 7:00 p.m. until approximately 9:30 p.m. on June 26, 1993. When the deceased’s mother came home at 9:30 p.m., she did not check on the deceased but asked the Appellant how she was and was told that she was alright. The next morning at about 7:00 a.m., the deceased’s mother found the deceased dead in her bed. The Appellant, the deceased’s uncle, was charged with the murder.
An autopsy was performed on the deceased by Dr. Rasaiah commencing at 12:55 p.m. on June 27, 1993. Dr. Rasaiah estimated the time of death to have been between 8:00 p.m. and 10:00 p.m. on June 26, 1993 based on the deceased’s body temperature, the degree of lividity and rigor mortis, but he could not be completely certain as to the time of death. Dr. Rasaiah found the cause of death to have been asphyxiation caused by compression, such as manual strangulation or smothering. Dr. Smith and Dr. Ferris, who examined Dr. Rasaiah’s report, felt that the death was likely caused by manual strangulation.
At trial, Dr. Rasaiah and Dr. Smith testified for the Respondent, while Drs. Ferris and Jaffe testified for the Appellant. Dr. Ferris and Jaffe testified that Dr. Rasaiah’s methods of determining time of death were not totally reliable, and that there were several factors that could affect the tests he used. There was general agreement among the doctors that the deceased died of asphyxia, although Dr. Jaffe felt that there was no clear cut cause of death, only a number of possibilities.
The Appellant was convicted of first degree murder. His appeal to the Court of Appeal was dismissed with a dissent from Borins J. (ad hoc) who would have allowed the appeal and ordered a new trial. Borins J. dissented on the grounds that the trial judge erred in not adequately outlining the theory of the defence for the jury.

L’appelant a gardé la victime, Valin Johnson, âgée de quatre ans, de 19 h à environ 21 h 30, le 26 juin 1993. Lorsque la mère de la victime est rentrée à la maison à 21 h 30, elle n’est pas allée voir l’enfant, mais a demandé à l’appelant si elle allait bien et a reçu une réponse affirmative. Le lendemain matin, vers 7 h, la mère de la victime a découvert la victime morte dans son lit. L’appelant, oncle de la victime, a été accusé de meurtre.
Une autopsie a été pratiquée sur la victime par le Dr Rasaiah, à compter de 12 h 55, le 27 juin 1993. Le Dr Rasaiah a estimé que le décès avait eu lieu entre 20 h et 22 h, le 26 juin 1993, se fondant sur la température du corps de la victime et le degré de lividité et de rigidité cadavériques, mais il n’a pas pu préciser avec certitude l’heure du décès. Le Dr Rasaiah a déterminé que la mort était survenue par suite d’asphyxie causée par compression, comme dans le cas d’un étranglement ou d’un étouffement fait avec les mains. Le Dr Smith et le Dr Ferris, qui ont examiné le rapport du Dr Rasaiah, ont estimé que la mort avait vraisemblablement été causée par étranglement avec les mains.
Au procès, les Drs Rasaiah et Smith ont témoigné pour l’intimée, alors que les Drs Ferris et Jaffe ont témoigné en faveur de l’appelant. Les Drs Ferris et Jaffe ont affirmé que les méthodes utilisées par le Dr Rasaiah pour déterminer le moment du décès n’étaient pas totalement fiables, et que plusieurs facteurs pouvaient affecter les tests qu’il avait utilisés. Les médecins étaient tous d’accord pour dire que la victime était morte asphyxiée, bien que le Dr Jaffe eût été d’avis qu’il n’y avait aucune cause expliquant clairement le décès, seulement un certain nombre de possibilités.
L’appelant a été déclaré coupable de meurtre au premier degré. Son appel à la Cour d’appel a été rejeté à la majorité. Le juge Borins (ad hoc) était d’avis d’accueillir l’appel et d’ordonner un nouveau procès. Le juge Borins était dissident au motif que le juge du procès avait commis une erreur en n’expliquant pas correctement la thèse de la défense au jury.

The Respondent was charged with the murder of his brother. The trial was scheduled to begin on June 3, 1997. The Appellant chose to switch counsel between the preliminary hearing and the date scheduled for trial. By way of a pre-trial application, the Crown applied to have Mr. Simmonds, the Appellant’s second counsel, removed as counsel due to a potential conflict of interest. The application was heard before a judge of the Trial Division who, though scheduled to be the trial judge had the trial proceeded at that time, was not actually seized of the matter since the trial had not commenced. The trial judge ordered that Mr. Simmonds was precluded from acting on behalf of the Respondent.
A notice of appeal of that decision was filed in the Court of Appeal following which the Crown filed an interlocutory application seeking to have the notice of appeal struck on the grounds that no such right of appeal exists. The Court of Appeal heard the Crown’s application, and dismissed it holding that the Judicature Act, R.S.N. 1990 provided a right of appeal.

L’intimé a été accusé du meurtre de son frère. Le procès a été fixé au 3 juin 1997. L’appelant a choisi de changer d’avocat entre l’enquête préliminaire et la date fixée pour le procès. Par voie de demande préalable, le ministère public a demandé la révocation de Me Simmonds, le second avocat de l’appelant, à cause d’une possibilité de conflit d’intérêts. La demande a été entendue par un juge de la Section de première instance qui, bien que désigné pour siéger comme juge du procès si le procès avait eu lieu à ce moment-là, n’avait pas été effectivement saisi de l’affaire puisque le procès n’avait pas commencé. Le juge de première instance a ordonné qu’il soit interdit à Me Simmonds d’agir pour le compte de l’intimé.
Un avis d’appel de cette décision a été déposé en Cour d’appel, après quoi le ministère public a déposé une demande interlocutoire tendant à obtenir la radiation de l’avis d’appel pour le motif qu’il n’existait pas de droit d’appel. La Cour d’appel a entendu la demande du ministère public et l’a rejetée, concluant que la Judicture Act, R.S.N. 1990 prévoyait un droit d’appel.

In November 1991, the RCMP launched a “reverse sting” operation that involved RCMP agents posing as large scale hashish vendors. Using the help of an informant, the RCMP contacted two groups through the Appellant Shirose. The RCMP attempted to negotiate a sale of their hashish with each of these groups. The Appellant Campbell became involved in the negotiations as financier. He was alleged to be the leader of a huge illegal narcotics operation. The deal eventually materialized in January 1992 leading to the arrest of the Appellants and charges of conspiracy to traffic in hashish and conspiracy to possess hashish for the purpose of trafficking.
At trial, the Appellants attempted to subpoena a lawyer from the Department of Justice in Toronto to testify as to communications that had occurred between himself and an RCMP officer. The trial judge ruled that the communications were protected by solicitor-client privilege and set aside the subpoena.
After the Appellants were found guilty, they moved for a stay of proceedings on the basis of an abuse of process. The application was denied. The Appellants were convicted. Their appeal to the Ontario Court of Appeal was dismissed.

En novembre 1991, la GRC a lancé une opération de vente par agent d'infiltration dans laquelle des agents de la GRC prétendaient être des vendeurs de hachisch sur une grande échelle. Avec l'aide d'un informateur, la GRC a contacté deux groupes par l'intermédiaire de l'appelant Shirose. La GRC a tenté de négocier une vente de hachisch avec chacun de ces groupes. L'appelant Campbell a été impliqué dans les négociations à titre de bailleur de fonds. On a allégué qu'il était le leader d'une vaste opération illégale en matière de stupéfiants. L'entente s'est finalement matérialisée en janvier 1992, ce qui a entraîné l'arrestation des appelants et le dépôt d’accusations de complot en vue de faire le trafic de hachisch et de complot en vue d'avoir la possession de hachisch pour en faire le trafic.
Au procès, les appelants ont tenté d'assigner un avocat du ministère de la Justice à Toronto à comparaître pour témoigner relativement aux communications qu’il a eues avec un agent de la GRC. Le juge du procès a décidé que les communications étaient protégées par le secret professionnel de l'avocat et il a annulé l'assignation.
Après avoir été reconnus coupables, les appelants ont demandé un arrêt des procédures sur le fondement d'un abus de procédure. La demande a été rejetée. Les appelants ont été déclarés coupables. La Cour d'appel de l'Ontario a rejeté leur appel.

The Appellant, George Abdallah, was charged with sexually assaulting and unlawfully confining one complainant and with two separate counts of sexually assaulting a second complainant.
The first complainant had testified that the Appellant forced vaginal and anal intercourse on her, but in a previous statement she had stated that the Appellant had not forced anal intercourse on her. The trial judge did not accept her explanation of the inconsistency and had a reasonable doubt on this issue. However, the trial judge held that the remainder of the complainant’s testimony was sufficiently reliable to support convictions for sexual assault and forcible confinement.
The second complainant had testified that the Appellant forced sexual intercourse on her. However, when she had been first approached by the police, she told them that the Appellant had not forced sexual intercourse on her. The trial judge did not accept her explanation, had a reasonable doubt concerning the charge and acquitted the Appellant. The complainant testified about a separate incident in which the Appellant sexually assaulted her by grabbing her breasts. The trial judge found that this part of the testimony was sufficiently reliable to convict the Appellant.
The trial judge had rejected the Appellant’s testimony. The Appellant was convicted on the three counts. On appeal, the majority of the Court of Appeal dismissed the appeal. Abella J.A., dissenting, held that the trial judge’s findings regarding the testimony of the complainants resulted in an irreconcilable inconsistency.

L’appelant, George Abdallah, a été accusé d’avoir agressé sexuellement et séquestré l’une des plaignantes, et inculpé sous deux chefs distincts d’agression sexuelle commise sur l’autre plaignante.
La première plaignante a témoigné que l’appelant l’a forcée à des relations vaginales et anales. Mais, dans une déclaration antérieure, elle avait affirmé que l’appelant ne l’avait pas forcée à des relations anales. Le juge du procès n’a pas accepté son explication quant à cette incompatibilité et a eu un doute raisonnable sur ce point. Cependant, le juge du procès a conclu que le reste du témoignage de la plaignante était suffisamment crédible pour soutenir des déclarations de culpabilité pour agression sexuelle et séquestration.
La deuxième plaignante a témoigné que l’appelant l’a forcée à des relations sexuelles. Cependant, dans sa première communication avec la police, elle avait dit que l’appelant ne l’avait pas forcée à des relations sexuelles. Le juge du procès n’a pas accepté son explication, a eu un doute raisonnable et a acquitté l’appelant quant à cette accusation. La plaignante a témoigné relativement à un incident distinct lors duquel l’appelant l’avait agressée sexuellement en lui empoignant les seins. Le juge du procès a conclu que cette partie du témoignage était suffisamment crédible pour déclarer l’appelant coupable.
Le juge du procès a rejeté le témoignage de l’appelant. L’appelant a été déclaré coupable sous trois chefs. À la majorité, la Cour d’appel a rejeté l’appel. Le juge Abella, dissidente, a statué que les conclusions du juge du procès sur le témoignage des plaignantes avaient abouti à une incompatibilité irréconciliable.
