CASE SUMMARY
Contracts – Suretyship – Non-admissibility (fin de non recevoir) – Alleged negligence of bank – Whether Court of Appeal erred in concluding that Ms. Lemay could not plead non-admissibility of bank’s action in circumstances – Whether Court of Appeal erred in holding, contrary to Superior Court, that Ms. Lemay had tacitly waived subrogation exception under art. 2365 C.C.Q. in circumstances.
In May 2002, Jean‐Marc Gendron borrowed $200,000 from the Respondent bank to purchase agricultural machinery. For that purpose, he granted the bank a movable hypothec without delivery. The deed of hypothec did not specify the rank of the security but included a statement that the property was free of any other [translation] “real right, hypothec or security”. The Applicant Lemay, who was Mr. Gendron’s spouse at the time, agreed to guarantee the loan. A short time later, the bank discovered that two other creditors, a credit union and an agricultural cooperative, had also financed the same purchase and had already registered movable hypothecs on the property in the register of personal and movable real rights. In late October 2002, the agricultural cooperative took the property in payment after Mr. Gendron defaulted. The bank, which had not been paid, ultimately brought an action against Mr. Gendron and against Ms. Lemay as surety.
Mr. Gendron did not appear. Ms. Lemay argued in defence that the suretyship was null because of an error vitiating her consent. She also argued, relying on the subrogation exception provided for in art. 2365 C.C.Q., that the bank had been negligent in not ensuring that its hypothec ranked first before disbursing the loan, which had caused her prejudice. In a cross demand, Ms. Lemay contended that the bank had abused its right to sue and claimed reimbursement of extrajudicial fees ($14,926.03) as well as moral damages ($10,000).
Roy J. rendered judgment by default against Mr. Gendron. She rejected Ms. Lemay’s argument concerning the nullity of the suretyship but found that Ms. Lemay could avail herself of the subrogation exception in the circumstances, since there was no indication that she had waived it. The Court of Appeal reversed the decision on this issue. It also held that Ms. Lemay could not plead non-admissibility of the bank’s action on the basis of abuse of rights by arguing, inter alia, that the bank had not taken the necessary precautions to ensure that its hypothec ranked first before disbursing the loan.

En mai 2002, Jean-Marc Gendron emprunte 200 000 $ de la banque intimée pour acheter une machine agricole. À cette fin, il consent à la banque une hypothèque mobilière sans dépossession. L’acte d’hypothèque ne précise pas le rang de la sûreté, mais contient une déclaration à l’effet que le bien est libre de tout autre « droit réel, hypothèque ou sûreté ». Conjointe de M. Gendron à l’époque, la demanderesse Mme Lemay accepte de cautionner l’emprunt. Peu après, la banque découvre que deux autres créanciers, une caisse populaire et une coopérative agricole, ont aussi financé le même achat et ont déjà fait inscrire sur le registre des droits personnels et réels mobiliers des hypothèques mobilières grevant le bien. À la fin octobre 2002, la coopérative agricole prend le bien en paiement vu le défaut de M. Gendron. La banque, impayée, intente éventuellement une action contre M. Gendron et, à titre de caution, Mme Lemay.
M. Gendron ne comparait pas. Mme Lemay, pour sa part, plaide en défense que le cautionnement est nul pour cause d’erreur viciant son consentement. Elle soutient aussi, invoquant l’exception de subrogation prévue à l’art. 2365 C.c.Q., que la banque a été négligente en ne s’assurant pas d’obtenir une hypothèque de premier rang avant de décaisser le prêt, ce qui lui porte préjudice. Dans une demande reconventionnelle, Mme Lemay soutient que la banque a abusé de son droit de poursuite et réclame le remboursement d’honoraires extrajudiciaires (14 926,03 $) ainsi que des dommages moraux (10 000 $).
La juge Roy rend jugement par défaut contre M. Gendron. Elle rejette l’argument de Mme Lemay concernant la nullité du cautionnement, mais juge que Mme Lemay peut se prévaloir de l’exception de subrogation dans les circonstances puisque rien n’indique qu’elle y ait renoncé. La Cour d’appel renverse la décision sur cette question. Elle juge aussi que Mme Lemay ne peut opposer une fin de non-recevoir à l’action prise par la banque en se fondant sur l’abus de droit, notamment en reprochant à celle-ci de n’avoir pas pris les précautions qui s’imposaient pour s’assurer une hypothèque de premier rang avant de décaisser le prêt.

The Applicant, an experienced criminal law lawyer, took his girlfriend’s son away in his car after a heated argument. He kept the boy for 11 days without permission and without contacting his girlfriend. At his trial for unlawfully detaining a youth who was less than 14 years old with intent to deprive the youth’s parent of possession of the child, he signed an agreed statement of facts on advice of counsel. The first trial resulted in a mistrial. At his second trial on an amended charge, the trial judge permitted the Crown to admit the agreed statement of facts from the first trial as rebuttable proof of the facts agreed to in the statement.

Le demandeur, un criminaliste d’expérience, a enlevé le fils de sa petite amie, l’emmenant dans sa voiture, après une vive altercation. Il a gardé le garçon pendant 11 jours sans permission et sans communiquer avec sa petite amie. À son procès pour avoir illégalement détenu un adolescent âgé de moins de 14 ans avec l’intention de priver de la possession de celui-ci le parent de l’enfant, il a signé un exposé conjoint des faits sur le conseil de son avocat. Le premier procès a donné lieu à un procès nul. À son deuxième procès sur une accusation modifiée, le juge du procès a permis au ministère public d’admettre l’exposé conjoint des faits du premier procès comme preuve réfutable des faits sur lesquels les parties s’étaient entendues dans l’exposé.

CASE SUMMARY

The Applicant, Lucas Knol, met Mr. Harry Versluce in the Yukon in the 1970s. As of the 1980s, the Applicant occupied a trailer from time-to-time, on property owned by Mr. Versluce. This arrangement was informal and the Applicant did not pay rent to Mr. Versluce. In the summer of 2001, the Applicant and Mr. Versluce signed a handwritten agreement regarding the disposition of the trailer and the surrounding lands. In October 2001, Mr. Versluce executed a will whereby he bequeathed the property in question to the Respondent, Genevieve Piper. On August 5, 2002, the Applicant registered a caveat against the property. A few days later, the Applicant was advised by Mr. Gerry Piper that Mr. Versluce wanted the Applicant to remove his belongings from the trailer. The Applicant did not do so. Instead, he wrote a letter to Mr. Versluce dated August 11, 2002, in which he discussed the request to vacate the trailer and reminded Mr. Versluce of their written agreement. He did not mention the caveat. Mr. Versluce died on August 15, 2002. In a letter dated April 8, 2003, the Respondent, who was co-executrix of Mr. Versluce’s will, informed the Applicant that the agreement and caveat were null and void. The Applicant responded asserting his right to occupy the trailer pursuant to the 2001 written agreement. The Respondent commenced an action in 2004 seeking a declaration that the Applicant had no interest in the property owned by the estate of Harry Versluce. The application was allowed and the Applicant’s counterclaim was dismissed. In the appeal proceedings before Veale J.A., the Applicant brought an application for indigent status, an application for the appointment of amicus curiae, an application to be excused from paying transcript fees and sought an order for interim costs. Veale J.A. dismissed all the applications. The Applicant then brought an application to vary the order of Veale J.A. This review application was dismissed by the Court of Appeal.

Le demandeur, Lucas Knol, a rencontré M. Harry Versluce dans le Yukon dans les années 1970. Dans les années 1980, le demandeur a occupé une roulotte à l’occasion, sur un terrain appartenant à M. Versluce. Cet arrangement était officieux et le demandeur ne payait pas de loyer à M. Versluce. À l’été 2001, le demandeur et M. Versluce ont signé une entente manuscrite portant sur la disposition de la remorque et le terrain environnant. En octobre 2001, M. Versluce a signé un testament par lequel il léguait le terrain en question à l’intimée, Genevieve Piper. Le 5 août 2002, le demandeur a fait inscrire une opposition grevant le terrain. Quelques jours plus tard, M. Gerry Piper a informé le demandeur que M. Versluce voulait que le demandeur enlève ses biens de la roulotte. Le demandeur ne l’a pas fait. Il a plutôt écrit une lettre à M. Versluce en date du 11 août 2002, dans laquelle il a discuté la demande de quitter la roulotte et a rappelé à M. Versluce leur entente écrite. Il n’a pas mentionné l’opposition. Monsieur Versluce est décédé le 15 août 2002. Dans une lettre datée du 8 avril 2003, l’intimée, qui était coexécutrice du testament de M. Versluce, a informé le demandeur que l’entente et l’opposition étaient nuls. Le demandeur a répondu en revendiquant son droit d’occuper la roulotte en vertu de l’entente écrite de 2001. L’intimée a intenté une action en 2004 pour obtenir un jugement déclarant que le demandeur n’avait aucun droit au terrain appartenant à la succession de Harry Versluce. La demande a été accueillie et la demande reconventionnelle du demandeur a été rejetée. En appel devant le juge Veale, le demandeur a présenté une demande que lui soit reconnu l’état d’indigence, une demande de nomination d’un amicus curiae, une demande pour qu’il soit dispensé des frais de transcription et une ordonnance de frais provisoires. Le juge Veale a rejeté toutes les demandes. Le demandeur a ensuite présenté une demande en rectification de l’ordonnance du juge Veale. La Cour d’appel a rejeté cette demande de révision.

CASE SUMMARY
Private international law - Foreign judgments - Issue estoppel - Kuwait courts resolving issue of ownership of bank account in favour of Respondent - Applicant bank not a party to Kuwait litigation and not participating in proceedings - Bank earlier transferring monies held in account to Swiss bank account owned by Respondent’s brother - Whether bank should be bound by decision of Kuwait courts on issue of ownership of funds - Whether issue estoppel can apply in absence of participation, or at least clear right to participate, in foreign proceeding.
The will of the Respondent’s mother, who was a resident of Kuwait, specified that all properties owned by her at the time of her death, including her bank accounts, be transferred to the Respondent. At the time of her death, the mother had an account with the Applicant bank in Toronto. Following the mother’s death, her sons pursued lengthy estate litigation in the Kuwait courts in which they sought to invalidate the terms of their mother's will. The bank was not a party to the estate litigation in Kuwait and did not participate in the proceedings.
The Kuwait courts resolved the issue of the ownership of the bank account in favour of the Respondent. However, shortly after the mother’s death and years before the estate litigation in Kuwait was resolved, the bank transferred the monies held in the mother’s account to a Swiss bank account owned by one of the sons. The Superior Court of Justice granted summary judgment to the Respondent in the amount of US$712,879.42, representing the amount of money held in the bank account, plus pre-judgment interest and costs. The Court of Appeal upheld that decision.

RÉSUMÉ DE L’AFFAIRE
Droit international privé - Jugements étrangers - Préclusion découlant d’une question déjà tranchée - Les tribunaux du Koweït ont tranché la question de la propriété d’un compte bancaire en faveur de l’intimée - La banque demanderesse n’était pas partie au litige au Koweït et ne participait pas à l’instance - La banque avait précédemment viré des sommes d’argent détenues dans un compte à un compte bancaire suisse appartenant au frère de l’intimée - La banque devrait-elle être liée par la décision des tribunaux du Koweït sur la question de la propriété des fonds? - La préclusion découlant d’une question déjà tranchée peut-elle s’appliquer en l’absence de participation à une instance étrangère, ou au moins d’un droit clair d’y participer?
Le testament de la mère de l’intimée, qui était une résidente du Koweït, précisait que tous les biens qui lui appartenaient à son décès, y compris ses comptes bancaires, devaient être transmis à l’intimée. Au moment de son décès, la mère avait un compte à la banque demanderesse à Toronto. Après le décès de la mère, ses fils ont poursuivi un long litige successoral devant les tribunaux du Koweït dans lequel ils ont demandé l’invalidation des dispositions du testament de la mère. La banque n’était pas partie au litige successoral au Koweït et n’a pas participé à l’instance.
Les tribunaux du Koweït ont tranché la question de la propriété du compte bancaire en faveur de l’intimée. Toutefois, peu de temps après le décès de la mère et des années avant la résolution du litige successoral au Koweït, la banque a viré les sommes d’argent détenues dans le compte de la mère à un compte bancaire suisse appartenant à un des fils. La Cour supérieure de justice a accordé un jugement sommaire en faveur de l’intimée pour la somme de 712 879,42 $US, représentant la somme d’argent détenue dans le compte bancaire plus les intérêts avant jugement et les dépens. La Cour d’appel a confirmé cette décision.
