The Respondent, Ashton Mining of Canada Inc. (“New Ashton”), is a corporation formed as a result of an amalgamation between Ashton Mining of Canada Inc. (“Old Ashton”) and 4370937 Canada Inc., a wholly owned subsidiary of Stornoway Diamond Corporation (“Stornoway”). The amalgamation took place on January 15th, 2007. Both Old Ashton and New Ashton were incorporated pursuant to the CBCA. As a result of the amalgamation, New Ashton became a wholly owned subsidiary of Stornoway.
The Applicant, Rumi Vesuna, was one of four shareholders in Old Ashton who exercised their right under s. 190(5) of the Canada Corporations Business Act, R.S.C. 1984, c. C-44 to dissent to the amalgamation and to be paid fair value for their shares, as determined by the court. The other dissenting shareholders accepted New Ashton’s offer of $1.25 per share, leaving the Applicant as the sole dissenter. The Supreme Court of British Columbia fixed the fair value of the Applicant’s shares in Old Ashton, as of January 12, 2007, at $1.25 per share. The Court of Appeal dismissed the appeal.

L’intimée, Ashton Mining of Canada Inc. (« Nouvelle Ashton »), est une société issue de la fusion d’Ashton Mining of Canada Inc. (« Ancienne Ashton ») et de 4370937 Canada Inc., une filiale à cent p. 100 de Stornoway Diamond Corporation (« Stornoway »). La fusion a eu lieu le 15 janvier 2007. Ancienne Ashton et Nouvelle Ashton ont toutes les deux été constituées sous le régime de la LCSA. À la suite de la fusion, Nouvelle Ashton est devenue une filiale à cent p. 100 de Stornoway.
Le demandeur, Rumi Vesuna, est l’un des quatre actionnaires d’Ancienne Ashton qui ont exercé leur droit, en vertu du par. 190(5) de la Loi canadienne sur les sociétés par actions, L.R.C. 1985, ch. C-44, de dissidence à l’égard de la fusion et de se faire payer la juste valeur de leurs actions, déterminée par le tribunal. Les autres actionnaires dissidents ont accepté l’offre de Nouvelle Ashton, soit de 1,25 $ par action, de sorte que le demandeur demeurait l’unique dissident. La Cour suprême de la Colombie-Britannique a fixé la juste valeur des actions du demandeur dans Ancienne Ashton à 1,25 $ par action en date du 12 janvier 2007. La Cour d’appel a rejeté l’appel.

Torts - Defamation - Fair comment - Malice - Whether in the context of fair comment, malice is conclusively established when an individual either (i) makes a defamatory comment knowing that the comment or the defamatory imputation carried by the comment is false or (ii) makes a defamatory comment with reckless disregard for its truth, or is this merely evidence of malice - Whether in the context of fair comment, malice is conclusively established when an individual makes a defamatory comment lacking a genuine belief in the truth of the comment or is this merely evidence of malice - Whether in the context of fair comment, there is a different test for determining whether the defendant’s subjective belief or disbelief in the truth of the comment constitutes malice, as opposed to evidence of malice, depending upon whether the defendant is the originator of the comment or a subsequent publisher - Whether what constitutes an improper purpose sufficient to defeat the defence of fair comment is different from what constitutes an improper purpose sufficient to defeat the defence of qualified privilege - Whether the omission of material facts materially alters the accuracy of the stated facts or the complexion of the stated facts.
The Applicant, Creative Salmon Company Ltd., is a salmon fish farming company that raises its fish in the Clayoquot Sound near Tofino, B.C. In late 2004, the Respondent, Don Staniford, was hired by the Friends of Clayoquot Sound (the “FOCS”), an environmental group located in Tofino, B.C., as their aquaculture campaigner. In June 2005, two press releases were issued by the FOCS about Creative Salmon. Creative Salmon alleges that the press releases contained defamatory statements authored by Staniford. Creative Salmon said that Staniford’s motivation for making the statements was that he wanted to build up opposition to all salmon farming, and in particular to Creative Salmon because Creative Salmon was attempting to farm salmon organically. In response, Staniford pleaded that the statements were fair comments made in good faith on matters of public interest, namely public health and safety and sustainability of the environment, as potentially effected by Creative Salmon’s salmon farming operation. Staniford also stated that the statements were justified as they were true in substance or so close to the truth as to remove all liability for any sting. The trial judge held that the words complained of were defamatory, in that the plain and ordinary meaning of the words was that Creative Salmon was intentionally dishonest regarding the information it published on its website. Further, Staniford did not satisfy the onus of establishing the defences of fair comment or justification. Creative Salmon was entitled to $10,000 for general damages and $5,000 for aggravated damages. The Court of Appeal allowed the appeal and ordered a new trial.

Responsabilité délictuelle - Diffamation - Commentaire loyal - Intention de nuire - Dans le contexte d’un commentaire loyal, l’intention de nuire est-elle irréfutablement établie lorsqu’une personne, selon le cas (i) fait un commentaire diffamatoire sachant que le commentaire ou l’imputation diffamatoire portée par le commentaire est faux ou (ii) fait un commentaire diffamatoire avec une insouciance téméraire quant à sa véracité, ou s’agit-il simplement d’une preuve d’intention de nuire? - Dans le contexte d’un commentaire loyal, l’intention de nuire est-elle irréfutablement établie lorsqu’une personne fait un commentaire diffamatoire sans véritablement croire en la véracité du commentaire ou s’agit-il simplement d’une preuve d’intention de nuire? - Dans le contexte de l’intention de nuire, y a-t-il un critère différent pour trancher la question de savoir si la croyance ou la non-croyance subjective du défendeur quand à la véracité du commentaire constitue une intention de nuire, par opposition à une preuve d’intention de nuire, selon que le défendeur est l’initiateur du commentaire ou un éditeur subséquent? - Ce qui constitue une fin illégitime suffisante pour faire échec au moyen de défense de commentaire déloyal diffère-t-il de ce qui constitue une fin illégitime suffisante pour faire échec à l’immunité relative? - L’omission de faits importants a-t-elle pour effet d’altérer de façon substantielle l’exactitude de faits affirmés ou la nuance de faits affirmés?
La demanderesse, Creative Salmon Company Ltd., est une société de pisciculture du saumon qui élève ses poissons dans la baie Clayoquot près de Tofino (C.-B.). Vers la fin de 2004, l’intimé, Don Staniford, a été embauché par Friends of Clayoquot Sound (« FOCS »), un groupe environnemental dont le siège se trouve à Tofino (C.-B.), à titre de militant en matière d’aquaculture. En juin 2005, deux communiqués de presse ont été émis par FOCS au sujet de Creative Salmon. Creative Salmon allègue que les communiqués de presse renfermaient des affirmations diffamatoires dont M. Staniford était l’auteur. Creative Salmon a affirmé que M. Staniford a fait les affirmations parce qu’il voulait susciter de l’opposition contre toute salmoniculture et en particulier contre Creative Salmon, parce que Creative Salmon tentait de faire l’élevage biologique du saumon. En guise de réponse, M. Staniford a plaidé que les affirmations étaient des commentaires loyaux faits de bonne foi sur des questions d’intérêt public, à savoir la santé et la sécurité publiques et la durabilité de l’environnement qui seraient éventuellement touchées par les activités de salmoniculture de Creative Salmon. Monsieur Staniford a également affirmé que les affirmations étaient justifiées, puisqu’elles étaient vraies en substance, ou si près de la vérité que toute responsabilité quand à leurs effets négatifs s’en trouvait éliminée. Le juge de première instance a statué que les mots incriminés étaient diffamatoires, puisque leur sens ordinaire était que Creative Salmon avait été intentionnellement malhonnête pour ce qui est des renseignements qu’elle publiait sur son site web. De plus, M. Staniford ne s’était pas acquitté du fardeau d’établir les moyens de défense de commentaire loyal ou de justification. Creative Salmon avait droit à 10 000 $ en dommages-intérêts généraux et à 5 000 $ en dommages-intérêts alourdis. La Cour d’appel a accueilli l’appel et ordonné un nouveau procès.

Charter of Rights - Criminal law ‑ Search and seizure - Search warrant - Enforcement - Evidence - Remedies - Exclusion of evidence - Whether the Court of Appeal misstated the standard of full and frank disclosure applicable to ex parte search warrant applications - Whether the failure to meet the standard of full and frank disclosure in connection with an ex parte warrant application automatically invalidates the warrant, resulting in an infringement of s. 8 of the Charter, without regard to whether there continues to be any basis for the decision of the authorizing justice - Whether these errors of law led the Court of Appeal to revisit the trial judge’s conclusion with regard to the admissibility of the evidence under s. 24(2) of the Charter - Canadian Charter of Rights and Freedoms, ss. 8, 24(2).
The trial judge conducting the voir dire concluded that the entire search product was admissible. The Respondent, Mr. Ling, was convicted in Provincial Court of unlawful cultivation of marihuana, possession of that drug for the purpose of trafficking, and firearms offences. The Court of Appeal held that to admit the evidence gathered pursuant to the warrant would bring the administration of justice into disrepute in the minds of right-thinking citizens. The Court of Appeal excluded the evidence and entered an acquittal on all counts.

Charte des droits - Droit criminel ‑ Fouilles et perquisitions - Mandat de perquisition - Exécution - Preuve - Réparations - Exclusion de la preuve - La Cour d’appel a-t-elle mal énoncé la norme de communication complète et sincère applicable aux demandes de mandat de perquisition ex parte? - Le non respect de la norme de communication complète et sincère en rapport avec une demande de mandat de perquisition ex parte invalide-t-il automatiquement le mandat, donnant lieu à une violation de l’art. 8 de la Charte, sans égard à la question de savoir s’il subsiste un fondement à la décision du juge qui donne l’autorisation? - Ces erreurs de droit ont-ils amené la Cour d’appel a revoir la conclusion du juge de première instance en ce qui a trait à l’admissibilité de la preuve en regard du par. 24(2) de la Charte? - Charte canadienne des droits et libertés, art. 8, 24(2).
Le juge de première instance qui a instruit le voir-dire a conclu que tout le produit de la perquisition était admissible. La Cour provinciale a déclaré l’intimé M. Ling coupable de culture illégale de marijuana, de possession de cette drogue en vue d’en faire le trafic et d’infractions relatives aux armes à feu. La Cour d’appel a statué que l’admission de la preuve recueillie en vertu du mandat de perquisition déconsidérerait l’administration de la justice dans l’esprit de citoyens sensés. La Cour d’appel a exclu la preuve et a inscrit un acquittement relativement à tous les chefs.

The Public Guardian and Trustee objected to the amount of the contingency fee the Applicant proposed for acting as counsel for an infant plaintiff in a civil matter. Liability was never seriously disputed, and it was always clear that quantum would be significant. The initial offer from the insurance company was $850,000, but the eventual settlement was for the full policy limit – $1 million. There were no discoveries of the defendants or the documents, the action was not set down for trial, and there was no mediation.
The Applicant, a sole practitioner and civil litigator with 27 years of experience, took the file over from the original counsel and had conducted it since November 1995. The contingency agreement promised her one third of the amount recovered, which she later reduced voluntarily to 20 percent. She sought approval for $195,872.34 in fees (20 percent of the amount recovered) plus taxes and disbursements. The disbursements included the fees payable to the original counsel ($12,985). The guardian ad litem did not object to her proposed fee. The Public Guardian and Trustee proposed a fee of $50,000 based on 200 hours.
The chambers judge approved the fee proposed by Ms. Fus; the Court of Appeal found that the chambers judge had not given adequate weight to all the relevant factors. In particular, the degree of risk, the level of effort expended, and the nature of and complexity of the legal issues had to be considered.

Le tuteur et curateur public s’est opposé au montant des honoraires conditionnels que la demanderesse a proposé pour agir comme avocate d’un demandeur mineur dans une affaire civile. La responsabilité n’a jamais été contestée sérieusement et il a toujours été clair que le montant serait important. L’offre initiale de la compagnie d’assurance s’élevait à 850 000 $, mais celle-ci a finalement réglé pour le montant total de la garantie, soit un million de dollars. Il n’y eut aucun interrogatoire préalable des défendeurs ou communication préalable de documents, l’action n’a pas été inscrite pour instruction et il n’y a eu aucune médiation.
La demanderesse, une avocate plaidante au civil exerçant seule et ayant 27 années d’expérience, a hérité du dossier d’un premier avocat et s’en est occupée depuis novembre 1995. En vertu de la convention d’honoraires conditionnels, elle avait droit à un tiers du montant recouvré, un pourcentage qu’elle a volontairement réduit par la suite à 20 p. 100. Elle a demandé l’homologation de 195 872,34 $ en honoraires (20 p. 100 du montant recouvré) plus les taxes et les débours. Les débours comprenaient les honoraires payables au premier avocat (12 985 $). Le tuteur à l’instance ne s’est pas opposé aux honoraires demandés. Le tuteur et curateur public a proposé des honoraires de 50 000 $ calculés en fonction de 200 heures.
Le juge en chambre a homologué les honoraires de Me Fus; la Cour d’appel a conclu que le juge en chambre n’avait pas accordé suffisamment d’importance à tous les facteurs pertinents. En particulier, le degré de risque, l’effort consacré et la nature et la complexité des questions de droit devaient être pris en compte.

This case concerns the tax treatment of $12,000,000 received in equal shares by RCI Environment Inc. (RCI) and Centres de Transbordement et de Valorisation Nord-Sud inc. (CTVNS), two companies that have since merged into a single entity: the Applicant, RCI 2006. The amount in issue was paid under a settlement reached in a dispute over the breach of non-competition agreements. The Respondent considered the amount to be income from a business that had to be included in the income of RCI and CTVNS under s. 9 I.T.A. and assessed them accordingly for their 1999 taxation year. RCI and CTVNS objected to the assessments on the ground that, in their submission, the amount was a windfall gain that was exempt from tax.
The Tax Court of Canada judge held that the amount was an eligible capital amount under s. 14 I.T.A. and that three quarters of the amount had to be included in computing income. The Federal Court of Appeal affirmed that judgment.

Robert Valitchka sought his costs against Althea Reyes of a motion to sign an order based on minutes of settlement that dealt with the issue of child support with respect to the child of the union. An order was made for Ms. Reyes to pay Mr. Valitchka his costs in the amount of $27,000, which was to be set off against a lump sum of $25,000 that was payable by Mr. Valitchka to Ms. Reyes pursuant to the minutes of settlement in respect of outstanding child support. Ms. Reyes sought to appeal the order, but failed to meet the filing deadlines. An extension of time was granted, on terms, by the Ontario Court of Appeal, which terms Ms. Reyes also failed to meet. Thereafter, Ms. Reyes failed to appear on her own motion for a further extension of time, instead sending a friend to request an adjournment.
The Ontario Court of Appeal refused the adjournment and dismissed Ms. Reyes’ motion for an extension of time. Ms. Reyes subsequently brought a motion to set aside the order refusing the adjournment and dismissing the motion to extend time, which motion was also dismissed by the Court of Appeal, finding there was no basis for interfering with the previous order.

Robert Valitchka a demandé que Althea Reyes soit condamnée à lui payer ses dépens relativement à une motion en vue de faire signer une ordonnance fondée sur un procès-verbal de transaction qui portait sur la question de la pension alimentaire pour enfants relativement à l’enfant de l’union. Une ordonnance condamnait Mme Reyes à payer à M. Valitchka ses dépens, soit la somme de 27 000 $, qui devait être portée en déduction de la somme de 25 000 $ payable par M. Valitchka à Mme Reyes conformément à un procès-verbal de transaction relativement à une pension alimentaire pour enfants impayée. Madame Reyes a tenté d’interjeter appel de l’ordonnance, mais elle n’a pas respecté les délais de dépôt. La Cour d’appel de l’Ontario a accordé une prorogation de délai à certaines conditions que Mme Reyes n’a pas non plus respectées. Par la suite, Mme Reyes n’a pas comparu à l’instruction de sa propre motion en prorogation de délai supplémentaire, envoyant plutôt un ami pour demander un ajournement.
La Cour d’appel de l’Ontario a refusé l’ajournement et a rejeté la motion en prorogation de délai de Mme Reyes. Madame Reyes a ensuite présenté une motion en annulation de l’ordonnance refusant l’ajournement et rejetant la demande de prorogation de délai, motion qui a également été rejetée par la Cour d’appel qui a conclu qu’il n’y avait pas lieu d’infirmer l’ordonnance précédente.
