CASE SUMMARY
Commercial law – Stockbrokers – Contracts – Contract between broker and client contained refusal clause allowing broker the right to refuse to accept purchase or sale instructions from the client whenever broker deemed it necessary for its protection or otherwise – Broker suspended activity in clients accounts – Whether the Court of Appeal erred in determining that Venture was not legally entitled to claim damages for any of its alleged losses – Whether this case involves a conflict between the contractual duties owed by Canadian brokerage houses to their customers and the ability of brokers to terminate their obligations to customers – Whether there are conflicting decisions in the Courts of Appeal on this issue?
The respondent, Yorkton Securities Inc., a brokerage house, became concerned that the principal of one of its client, the applicants, had a serious criminal record and that some of the client’s transactions might attract regulatory disapproval. A “refusal clause” in the written agreement between the broker and the client gave the broker “the right to refuse to accept purchase or sale instructions from the client whenever Yorkton shall deem it necessary for its protection or otherwise.” Purporting to act under this clause, the broker suspended all activity in the client’s account. The client sued the broker for losses allegedly sustained as a result of transactions disrupted by the suspension.

Droit commercial – Courtiers en valeurs mobilières – Contrats – Le contrat intervenu entre le courtier et son client contenait une clause de refus accordant au courtier le droit de refuser de se conformer aux instructions d’achat ou de vente du client lorsqu’il jugeait nécessaire de le faire pour se protéger ou pour toute autre raison – Le courtier a suspendu les activités dans les comptes du client – La Cour d’appel a‑t‑elle commis une erreur en concluant que Venture n’avait pas légalement le droit de réclamer des dommages‑intérêts à l’égard de l’une ou l’autre de ses pertes alléguées? – Cette affaire soulève‑t‑elle un conflit entre les obligations contractuelles des maisons de courtage canadiennes envers leurs clients et la capacité des courtiers de mettre fin à leurs obligations envers les clients? – Les tribunaux d’appel ont‑ils rendu des décisions contradictoires sur cette question?

The Respondent, a unilingual English speaking employee of the Applicant, filed a complaint with the Office of the Commissioner of Official Languages under s. 58 of the OLA alleging that he was denied opportunities for advancement and full-time employment because of the bilingualism requirement of certain positions covered by the Collective Agreement. The Commissioner conducted an investigation and released a report. The Respondent filed an application under s. 77 of the OLA seeking an order from the Court to force Via Rail to comply with certain recommendations of the report and to be indemnified for lost wages as a result of denied access for advancement in the workplace. Via Rail brought a motion for an order striking the Respondent’s application for lack of jurisdiction and lack of available remedy.

CASE SUMMARY
Statutes - Interpretation - Requirement to provide foreign-based information or documents under s. 231.6 of the Income Tax Act, R.S.C., c.1 (5th Supplement) -Whether a non-resident that is potentially not liable to tax in Canada or only liable with respect to profits earned through a permanent establishment in Canada may be subject to the requirement to provide information and documents concerning its world-wide affairs - Territorial limitations to the Respondent’s exercise of powers under the Act.
The Applicant, a corporation incorporated under the laws of Luxembourg, employed one of its specialized vessels for certain work on the Sable Offshore Energy Project off Nova Scotia. The work allegedly took place under two separate contracts, for discrete periods in two consecutive years. The Canada-Luxembourg Tax Convention provides that a resident of one contracting state is not liable to pay tax on business income earned in the other contracting state unless the business in question is carried on through a permanent establishment in the other state. The Respondent took the position that it could not assess whether the Applicant had a permanent establishment in Canada and hence was liable to pay tax unless it carried out an audit. It therefore issued a notice pursuant to subsection 231.6(2) of the Income Tax Act, R.S.C., c.1 (5th Supplement) (the “Act”) requiring the Applicant to provide foreign-based information and documents. Pursuant to subsection 231.6(4) of the Act, the Applicant brought an application seeking to have the Notice of Requirement set aside as being unreasonable.

Lois - Interprétation - Obligation de fournir des renseignements ou documents étrangers en application de l’art. 231.6 de la Loi de l’impôt sur le revenu, L.R.C., ch.1 (5e supplément) - Un non-résident qui n’est peut-être pas assujetti à l’impôt au Canada ou qui n’y est assujetti qu’à l’égard des bénéfices réalisés par un établissement stable au Canada peut-il être soumis à l’obligation de fournir des renseignements et documents concernant ses activités mondiales? - Limitations territoriales de l’exercice des pouvoirs de l’intimée en application de la Loi.
La demanderesse, une société constituée en vertu des lois du Luxembourg, a employé un de ses navires spécialisés pour certains travaux dans le cadre du Projet énergétique extracôtier de l’île de Sable au large de la Nouvelle-Écosse. Les travaux auraient été effectués en vertu de deux contrats distincts, pendant des périodes distinctes de deux années consécutives. La Convention Canada-Luxembourg en matière d’impôts sur le revenu prévoit qu’un résident d’un des États contractants n’est pas assujetti à l’impôt sur le revenu gagné dans l’autre État contractant, à moins que l’entreprise en question ne soit exploitée par un établissement stable dans l’autre État. L’intimée a soutenu que seule une vérification permettrait de savoir si la demanderesse avait un établissement stable au Canada, et était donc assujettie à l’impôt. L’intimée a donc délivré un avis en application du par. 231.6(2) de la Loi de l’impôt sur le revenu, L.R.C., ch.1 (5e supplément) (la «Loi») mettant en demeure la demanderesse de fournir des renseignements et documents étrangers. En vertu du par. 231.6(4) de la Loi, la demanderesse a demandé l’annulation de la mise en demeure au motif que celle-ci était déraisonnable.
