IACOBUCCI J. -- Based on the findings of the trial judge, the appellant was entitled to the protection afforded by s. 19 of the Ontario Business Corporations Act in his dealings with the director of the Respondent. Accordingly, the Respondent is bound by its directors representations. Therefore the appeal is allowed with costs in the Ontario Court of Appeal and here, the judgment of the Court of Appeal is set aside, and the trial judgment is restored.
LE JUGE EN CHEF (oralement) -- Il ne sera pas nécessaire de vous entendre Me Richler. La Cour est prête à rendre jugement qui, à ma demande, sera prononcé par mon collègue le juge Iacobucci.
LE JUGE IACOBUCCI -- Compte tenu des conclusions du juge de première instance, l’appelant avait droit à la protection de l’art. 19 de la Loi sur les sociétés par actions de l’Ontario, dans ses opérations avec l’administrateur de l’intimée. En conséquence, l’intimée est liée par les déclarations de ses administrateurs. Le pourvoi est donc accueilli, avec dépens devant la Cour d’appel de l’Ontario et devant nous, l’arrêt de la Cour d’appel est infirmé et le jugement du tribunal de première instance est rétabli.

The trial judgment herein was an order quashing the indictment. Applying the principles in R. v. Kalanj, [1989] 1 S.C.R. 1594, the order appealed to the Court of Appeal was not tantamount to an acquittal. Accordingly, this Court has no jurisdiction to hear the appeal. The appeal is quashed. Leave to appeal is refused.

En conséquence, notre Cour n’a pas compétence pour entendre le pourvoi. Celui-ci est annulé. L’autorisation de pourvoi est refusée.

The calculations are left to the parties, who may apply for directions if they cannot agree. The appellant is to pay costs on a party and party basis.

After filing an inscription in appeal of a judgment of the Superior Court, the respondent failed to serve and file its factum within the time prescribed in art. 503 C.C.P., and its appeal was accordingly deemed abandoned pursuant to art. 503.1 C.C.P. The clerk of the Court of Appeal recorded the default and issued a certificate stating that the appeal was abandoned. A few days later, counsel for the respondent learned of the certificate and filed a motion asking the Court of Appeal to declare that the appeal had not been abandoned and extend the time for service and filing of his factum. In the Court of Appeal counsel for the respondent maintained that he was aware of the Code of Civil Procedure's requirements but had got the dates confused since at the time he had two other cases before the Court of Appeal involving the same parties. The Court of Appeal granted the motion and gave the respondent special leave to appeal under art. 523 C.C.P.
Held: The appeal should be allowed. The judgment of the Court of Appeal is set aside for the sole purpose of amending its order.
For the reasons set out in Construction Gilles Paquette ltée v. Entreprises Végo ltée, S.C.C., No. 25090, May 29, 1997, the abandonment of the appeal should be rectified pursuant to the Court of Appeal's general power under para. 2 of art. 523 C.C.P. The error made by counsel for the respondent is a merely technical one that can be rectified in order to safeguard the respondent's rights without prejudicing the appellant. Furthermore, it is not argued that the appeal is frivolous, improper or dilatory. Finally, after receiving notice of the abandonment of the appeal, the resopndent acted quickly to rectify it. It is not necessary, however, to grant special leave to appeal under art. 523 in order to rectify an abandonment of an appeal. It is sufficient to order that the appeal be reinstated.

Quelques jours plus tard, l’avocat de l’intimée a pris connaissance du certificat et déposé une requête afin que la Cour d’appel déclare l’appel non déserté et qu’elle proroge le délai de signification et production de son mémoire. Devant la Cour d’appel, l’avocat de l’intimée a plaidé qu’il connaissait les exigences du Code de procédure civile, mais qu’il a confondu les dates puisqu’il avait à l’époque deux autres affaires devant la Cour d’appel impliquant les mêmes parties. La Cour d’appel a accueilli la requête et accordé à l’intimée la permission spéciale d’appeler prévue à l’art. 523 C.p.c.
Arrêt: Le pourvoi est accueilli. Le jugement de la Cour d’appel est infirmé à la seule fin de modifier son ordonnance.
Pour les motifs énoncés dans l’arrêt Construction Gilles Paquette ltée c. Entreprises Végo ltée, C.S.C., no 25090, 29 mai 1997, il doit être remédié à la désertion d’appel en vertu du pouvoir général de la Cour d’appel prévu à l’al. 2 de l’art. 523 C.p.c. L’erreur commise par l’avocat de l’intimée n’est que technique et il est possible d’y remédier afin de sauvegarder les droits de l’intimée, et ce, sans porter préjudice à l’appelant. En outre, on ne prétend pas que l’appel est futile, abusif ou dilatoire. Enfin, une fois informée de la désertion d’appel, l’intimée a agi avec diligence pour y remédier. Il n’est toutefois pas nécessaire d’accorder la permission spéciale d’appeler prévue à l’art. 523 pour remédier à la désertion d’appel. Il suffit d’ordonner la remise en état de l’appel.

The clerk of the Court of Appeal recorded the default and issued a certificate stating that the appeal was abandoned. A few days later, counsel for the appellant learned of the certificate and filed a motion in the Court of Appeal seeking to be relieved from its default and to be granted an extension of time to file its factum or, in the alternative, to be granted special leave to appeal. Counsel for the appellant pleaded error, that is, his own ignorance of the new provision. The Court of Appeal dismissed the motion in a majority decision, concluding that the court could circumvent an abandonment required by art. 503.1 C.C.P. only by granting special leave to appeal under art. 523 C.C.P., but that such leave should not be granted in this case.
Held: The appeal should be allowed.
The Court of Appeal can use the broad and discretionary general power conferred on it by para. 2 of art. 523 C.C.P. to “make any order necessary to safeguard the rights of the parties” to rectify the abandonment of the appeal required by art. 503.1 C.C.P. Article 503.1 provides for the administrative abandonment of appeals solely as a result of the passage of time. It does not provide that the expiry of the time limit for serving and filing the factum extinguishes the right of appeal, but simply provides that “the appeal is deemed abandoned”, which means that the appeal is given up, not that the right of appeal is extinguished. Since the appellant does not forfeit its right, it is not impossible to rectify the situation. The Court of Appeal can exercise its broad general power to rectify the abandonment. While the legislature has created an absolute presumption of abandonment by using the words “the appeal is deemed abandoned” in art. 503.1, it did not exclude that article from the scope of the Court of Appeal's general power. To remedy the effects of the abandonment, it is neither appropriate nor necessary to grant special leave to appeal when the case has already been duly appealed. It is sufficient to order that the file that has already been opened be reinstated. Accordingly, this power is not subject to the restrictions applicable to special leave to appeal set out in para. 2 of art. 523, although the Court of Appeal may consider them when exercising its discretion. Moreover, the criteria set out in the case law that guide the exercise of the discretion to grant special leave to appeal are just as relevant with regard to the Court of Appeal's general power.
In this case, the Court of Appeal should have used its general power under para. 2 of art. 523 to remedy the effect of the abandonment of the appeal and thus safeguard the appellant's rights. Although its counsel acknowledged that he had made an error concerning the applicable law, such an error must not prevent the safeguarding of the rights of the party he or she represents where it is possible, as here, to rectify the error without injustice to the opposing party. Moreover, it is not argued that the appeal is frivolous, improper or dilatory. Finally, apart from his ignorance of the amendment to the legislation, counsel for the appellant acted diligently. It is ordered that the appeal be reinstated.

Après avoir inscrit en appel un jugement de la Cour supérieure, l’appelante a omis de signifier et de produire son mémoire dans le délai prescrit à l’art. 503 C.p.c., si bien que, conformément à l’art. 503.1 C.p.c., son appel a été réputé déserté. Le greffier de la Cour d’appel a constaté le défaut et délivré un certificat attestant que l’appel était déserté. Quelques jours plus tard, l’avocat de l’appelante a pris connaissance du certificat et a déposé devant la Cour d’appel une requête pour être relevé de son défaut et pour proroger le délai de production de son mémoire ou, subsidiairement, pour que lui soit accordée une permission spéciale d’appel. L’avocat de l’appelante a plaidé l’erreur, soit sa propre ignorance de la nouvelle disposition. La Cour d’appel à la majorité a rejeté la requête, concluant que seule la permission spéciale d’appel prévue à l’art. 523 C.p.c. pouvait être utilisée par la cour pour contourner la désertion imposée par l’art. 503.1, mais qu’en l’espèce il n’y avait pas lieu d’accorder cette permission.
Arrêt: Le pourvoi est accueilli.
En vertu du large pouvoir général et discrétionnaire de «rendre toutes ordonnances propres à sauvegarder les droits des parties», accordé à la Cour d’appel à l’al. 2 de l’art. 523 C.p.c., cette dernière peut remédier à la désertion d’appel imposée à l’art. 503.1 C.p.c. L’article 503.1 impose une désertion administrative des appels qui survient en raison du seul écoulement du temps. Cet article n’indique pas que le délai imparti pour signifier et produire le mémoire emporte déchéance, mais prévoit simplement que «l’appel est réputé déserté», ce qui signifie que l’appel est abandonné, et non pas que le droit d’appel est éteint. Puisque l’appelant n’est pas déchu de son droit d’appel, la situation n’est pas irrémédiable. La Cour d’appel peut utiliser son large pouvoir général pour rémédier à la désertion. Bien que le législateur ait créé une présomption absolue de désertion en utilisant les termes «l’appel est réputé déserté» à l’art. 503.1, il n’a pas exclu cet article de la portée du pouvoir général de la Cour d’appel. Pour remédier aux effets de la désertion, il n’est ni indiqué ni utile d’accorder une permission spéciale d’appel alors que la cause a déjà été régulièrement portée en appel. Il suffit d’ordonner la remise en état du dossier déjà constitué. Ce pouvoir n’est donc pas astreint aux restrictions de la permission spéciale d’appel mentionnées à l’al. 2 de l’art. 523 mais la Cour d’appel pourra s’en inspirer dans l’exercice de sa discrétion. En outre, les critères jurisprudentiels qui guident l’exercice de la discrétion d’accorder une permission spéciale d’appel sont également pertinents dans le cadre du pouvoir général de la Cour d’appel.
En l’espèce, la Cour d’appel aurait dû utiliser son pouvoir général prévu à l’al. 2 de l’art. 523 pour remédier à l’effet de la désertion d’appel, et ainsi sauvegarder les droits de la partie appelante. Bien que son avocat ait reconnu avoir commis une erreur quant au droit applicable, cette erreur ne doit pas empêcher la sauvegarde des droits de la partie qu’il représente lorsqu’il est possible d’y remédier, comme dans la présente affaire, sans injustice pour la partie adverse. De plus, on ne prétend pas que l’appel est futile, abusif ou dilatoire. Enfin, l’avocat de la partie appelante, hormis son ignorance de la modification de la loi, a fait preuve de diligence. La remise en état de l’appel est ordonnée.

Labour law ‐‐ Dismissal ‐‐ Severance pay ‐‐ Employee terminated while receiving disability benefits ‐‐ Employer offering severance package of salary minus disability benefits being received ‐‐ Whether disability benefits should be deducted from damages for breach of employment contract during the notice period.
The respondent, a B.C. government contract employee, was terminated during a period when he was receiving disability benefits. The employer offered him severance of 12.5 months’ salary, less any disability benefits received during that time. The respondent sued for wrongful dismissal, claimed 24 months’ notice and sought damages consisting of the salary he would have earned had he worked during that period in addition to the disability benefits he was receiving. The trial judge found him entitled to 15 months’ notice and awarded damages less the disability benefits received during that period. The Court of Appeal allowed an appeal from that judgment, awarded damages equivalent to his salary for a 20‐month period and found him also entitled to the disability benefits received during that period. At issue was whether disability payments received by the employee during the notice period should be deducted from damages awarded for wrongful dismissal.
Held: The appeal should be allowed.
An employee who is wrongfully dismissed without adequate notice of termination is entitled to damages consisting of the salary that the employee would have earned had the employee worked during the notice period. The fact that an employee could not have worked during the notice period is irrelevant to the assessment of these damages. They are based on the premise that the employee would have worked during the notice period. Therefore, an employee who is wrongfully dismissed while working and an employee who is wrongfully dismissed while receiving disability benefits are both entitled to damages consisting of the salary the employee would have earned had the employee worked during the notice period.
Disability benefits are contractual and the question of their deductibility, therefore, turns on the terms of the employment contract and the intention of the parties. In this case, the short- and long-term disability plans should not be considered contracts which are distinct from the employment contract, but rather as integral components of it. This contract did not provide for the respondent to receive both disability benefits and damages for wrongful dismissal, and no such intention can be inferred. First, the terms of the plans demonstrate that the disability benefits were intended to be a substitute for the respondent’s regular salary. Second, the simultaneous payment of disability benefits and damages for wrongful dismissal is inconsistent with the terms of the employment contract. Had the appellant provided adequate notice and not breached the contract, the respondent would not have received both disability benefits and salary during the notice period.
Absent an intention by the parties to provide otherwise, an employee who is dismissed while not working but receiving disability benefits and an employee who is dismissed while working should be treated equally. Deducting disability benefits ensures that all affected employees receive equal damages consisting of the salary the employee would have earned had the employee worked during the notice period.

L’intimé, employé contractuel du gouvernement de la C.‐B., a été licencié au cours d’une période où il recevait des prestations d’invalidité. L’employeur lui a offert 12,5 mois de salaire à titre d’indemnité de départ, déduction faite des prestations d’invalidité reçues au cours de cette période. L’intimé a intenté une action pour congédiement injustifié, réclamé un préavis de licenciement de 24 mois et demandé des dommages‐intérêts correspondant au salaire qu’il aurait gagné s’il avait travaillé pendant la période visée par le préavis, en sus des prestations d’invalidité qu’il recevait. Le juge de première instance a conclu que l’intimé avait droit à un préavis de 15 mois et lui a accordé des dommages‐intérêts, desquels il a déduit les prestations d’invalidité reçues au cours de la période visée. La Cour d’appel a accueilli l’appel formé contre ce jugement, accordé des dommages‐intérêts équivalant au salaire de l’intimé pendant 20 mois et conclu qu’il avait aussi droit aux prestations d’invalidité reçues durant cette période. La question en litige est de savoir si les prestations d’invalidité reçues par l’intimé au cours de la période visée par le préavis devraient être déduites des dommages‐intérêts accordés pour congédiement injustifié.
Arrêt: Le pourvoi est accueilli.
L’employé qui est congédié injustement et qui ne reçoit pas un préavis de cessation d’emploi suffisant a droit à des dommages‐intérêts correspondant au salaire qu’il aurait gagné s’il avait travaillé durant la période visée par le préavis. Le fait que l’employé n’aurait pas pu travailler durant cette période n’est pas pertinent pour le calcul des dommages‐intérêts. Ceux‐ci sont fondés sur la prémisse que l’employé aurait travaillé pendant la période visée par le préavis. Par conséquent, l’employé qui est congédié injustement pendant qu’il travaille et celui qui est congédié injustement pendant qu’il reçoit des prestations d’invalidité ont tous les deux droit à des dommages‐intérêts correspondant au salaire qu’ils auraient respectivement gagné s’ils avaient travaillé durant la période visée par le préavis.
Les prestations d’invalidité sont prévues par contrat et la question de leur déductibilité repose donc sur les modalités du contrat de travail et sur l’intention des parties. En l’espèce, le régime de prestations d’invalidité de courte durée et le régime de prestations d’invalidité de longue durée ne devraient pas être considérés comme des contrats distincts du contrat de travail, mais plutôt comme des éléments faisant partie intégrante de celui‐ci. Ce contrat ne prévoyait pas que l’intimé recevrait à la fois des prestations d’invalidité et des dommages‐intérêts pour congédiement injustifié, et une telle intention ne peut être inférée. Premièrement, les modalités de ces régimes démontrent que les prestations d’invalidité visaient à remplacer le salaire reçu ordinairement par l’intimé. Deuxièmement, le paiement simultané de prestations d’invalidité et de dommages‐intérêts pour congédiement injustifié est incompatible avec les modalités du contrat de travail. Si l’appelante avait donné un préavis suffisant et n’avait pas violé le contrat, l’intimé n’aurait pas reçu et des prestations d’invalidité et son salaire durant la période visée par le préavis.
Sauf intention contraire des parties, l’employé qui est congédié pendant qu’il ne travaille pas et qu’il reçoit des prestations d’invalidité et l’employé qui est congédié pendant qu’il travaille devraient être traités de la même façon. Le fait de déduire les prestations d’invalidité garantit que tous les employés touchés reçoivent des dommages‐intérêts équivalents, soit le salaire qu’ils auraient reçu au cours de la période visée par le préavis.

After the applicant was ordered to be extradited, he sought writs of habeas corpus by successive applications. In the first application the parties proceeded as if a writ had been issued and the application was rejected on the merits. The decision was upheld by the Court of Appeal, and leave to appeal to this Court was refused both initially and on a reconsideration. Three subsequent applications for writs of habeas corpus were also dismissed, and these decisions were affirmed by the Court of Appeal. The applicant sought extensions of time relating to notices of appeal to this Court filed in respect of the decisions of the Court of Appeal concerning these three applications.
Held: The motions for extensions of time to serve and file notices of appeal should be dismissed.
Section 784(3) of the Criminal Code, which provides for appeals from a refusal of a writ of habeas corpus, does not apply here. Since the applicant has had a hearing on the merits pursuant to a consent procedure which treated the writ as having been issued, the applicable section is s. 784(5) and he has exhausted his appeals. The applicant therefore cannot appeal as of right with respect to any of the judgments which dismissed his appeals in the second, third and fourth applications. As this Court has no jurisdiction to hear appeals as of right, the applications to extend the time to appeal suffer the same fate.

Après que son extradition a été ordonnée, le requérant a présenté des demandes successives de brefs d’habeas corpus. Dans la première demande, les parties ont agi comme si un bref avait été délivré et cette demande a été rejetée au fond. La décision a été confirmée par la Cour d’appel et notre Cour a rejeté l’autorisation de pourvoi tant initialement qu’à l’occasion du réexamen. Trois autres demandes de brefs d’habeas corpus ont également été rejetées, et ces décisions ont été confirmées par la Cour d’appel. Le requérant a sollicité des prorogations de délai à l’égard des avis d’appel déposés devant notre Cour relativement aux décisions de la Cour d’appel concernant ces trois demandes.
Arrêt: Les requêtes en prorogation de délai pour signification et dépôt des avis d’appel sont rejetées.
Le paragraphe 784(3) du Code criminel, qui permet d’appeler du refus de délivrer un bref d’habeas corpus, ne s’applique pas en l’espèce. Comme la demande du requérant a été entendue au fond, conformément à une procédure appliquée du consentement des parties et dans le cadre de laquelle on a considéré que le bref avait été délivré, le par. 784(5) est la disposition applicable et le requérant a épuisé ses appels. Le requérant ne peut donc se pourvoir de plein droit contre aucun des jugements qui ont rejeté ses appels visant respectivement les deuxième, troisième et quatrième demandes. Puisque notre Cour n’a pas compétence pour entendre d’appels de plein droit en l’espèce, la demande de prorogation du délai d’appel connaît le même sort.

The Fall Session of the Supreme Court of Canada will commence October 6, 1997.
Pursuant to the Supreme Court Act and Rules, the following requirements for filing must be complied with before an appeal will be inscribed and set down for hearing:
Case on appeal must be filed within three months of the filing of the notice of appeal.
Appellant's factum must be filed within four months of the filing of the notice of appeal.
Respondent's factum must be filed within eight weeks of the date of service of the appellant's factum.
Intervener's factum must be filed within four weeks of the date of service of the respondent's factum.
The Registrar shall inscribe the appeal for hearing upon the filing of the respondent's factum or after the expiry of the time for filing the respondent's factum.
