The applicants’ motion for a stay of execution and the application for leave to appeal from the judgment of the Federal Court of Appeal, Numbers A‑297‑07, A‑298‑07, A‑299‑07 and A‑300‑07, 2008 FCA 398, dated December 12, 2008, are dismissed with costs.

CASE SUMMARY
Taxation - Income tax - Assessment - Capital gains - Sham - Whether Federal Court of Appeal erred in its interpretation of the fundamental principles of capital gain and business income - Whether Federal Court of Appeal erred in its application of the doctrine of sham to the statutory elections and to the consequent capital gains - Whether the Federal Court of Appeal violated fundamental rules of procedural fairness in rendering its decision on grounds other than those raised by the Respondent and without having heard the Applicants’ position on those grounds.
The Applicants Langlois and Faraggi used the Applicant companies in order to implement an elaborate tax plan in which the objective was to produce capital gains in the hands of a series of corporations in order to create capital dividend accounts, and to transfer, subject to the payment of certain sums, the tax benefit in the capital dividend accounts to third party corporations who were in a position to use them. Together, Langlois and Faraggi made over 12 million dollars from the plan. They considered the dividends they received from the plan as having been paid on a tax‑free basis, and accordingly, the amounts were not accounted for in their 1987 and 1988 income tax returns.
The Minister of National Revenue reassessed Langlois, Faraggi, and the Applicant companies for the 1987 and 1988 taxation years. The Minister adjusted each Applicant’s income according to the surpluses generated and the dividends received, claiming that the sale by the subsidiaries of the gain‑making shares did not give rise to capital gains; the transactions were considered to be shams. As a result, the Minister considered that the subsidiaries had no capital dividend accounts and, therefore, could not pay capital dividends to the Applicant companies. Consequently, the companies could not pay dividends out of their capital dividend accounts to Langlois and Faraggi. The Applicants’ appeals to the Tax Court of Canada and the Federal Court of Appeal were unsuccessful.

RÉSUMÉ DE L’AFFAIRE
Droit fiscal - Impôt sur le revenu - Cotisation - Gains en capital - Trompe-l’_il - La Cour d’appel fédérale s’est-elle trompée dans son interprétation des principes fondamentaux en matière de gain en capital et de revenu d’entreprise? - La Cour d’appel fédérale s’est-elle trompée dans son application de la doctrine du trompe-l’_il aux choix effectués en vertu de la loi et aux gains en capital qui en découlent? - La Cour d’appel fédérale a-t-elle violé des règles fondamentales de l’équité procédurale en rendant sa décision pour des motifs autres que ceux soulevés par l’intimée et sans avoir entendu la thèse des demandeurs à l’égard de ces motifs?
Les demandeurs, MM. Langlois et Faraggi, ont utilisé les compagnies demanderesses pour mettre en _uvre une planification fiscale élaborée qui avait pour but de produire un gain en capital entre les mains d’une série de sociétés afin de constituer des comptes de dividendes en capital et de transmettre, sujet au paiement de certaines sommes, l’avantage fiscal à l’égard des comptes de dividendes en capital à des tierces sociétés qui étaient en mesure d’en bénéficier. Ensemble, MM. Langlois et Faraggi ont tiré plus de 12 millions de dollars de la planification. Ils ont considéré que les dividendes qu’ils avaient reçus de la planification avaient été payés en franchise d’impôt, si bien que les montants n’ont pas été inclus dans leurs déclarations de revenus de 1987 et 1988.
Le ministre du Revenu national a établi une nouvelle cotisation à l’égard de MM. Langlois, Faraggi, et les sociétés demanderesses pour les années d’imposition 1987 et 1988. Le ministre a ajusté le revenu de chacun des demandeurs en fonction des excédents générés et des dividendes reçus, affirmant que la vente par les filiales des actions génératrices de gains n’avaient pas donné lieu à des gains en capital; les transactions ont été considérées comme un trompe-l’_il. En conséquence, le ministre a considéré que les filiales n’avaient pas de comptes de dividendes en capital, si bien qu’elles ne pouvaient pas verser de dividendes en capital aux sociétés demanderesses. Par conséquent, les compagnies ne pouvaient pas payer de dividendes à même leurs comptes de dividendes en capital à MM. Langlois et Faraggi. Les appels des demandeurs à la Cour canadienne de l’impôt et à la Cour d’appel fédérale ont été rejetés.

CASE SUMMARY
Labour relations - Enforceability of union fine - Fine imposed by union tribunal for breach of union constitution - Whether or not fine enforceable.
The Respondents Birch et al., who were members of the applicant union, crossed the union’s picket line to attend work during a legal strike. The union brought disciplinary proceedings against them for violating the union’s constitution by working during a legal strike, suspended their membership for three years (one year for each day that they had crossed the picket line), and fined each the equivalent of their gross salary ($476.75) for the three days they crossed the picket line. When they refused to pay their fines, the union sought to enforce payment in the Small Claims Division of the Superior Court of Justice. The parties agreed that the matter should proceed by way of application brought by the Respondents Birch et al. in the Superior Court on an agreed statement of facts as a test case. They sought: (1) a declaration that the Superior Court did not have jurisdiction to enforce provisions set out in a union consitution providing for fines or financial penalties against union member; (2) alternatively, a declaration that the court did not have jurisdiction to enforce union fines; and, (3) an order dismissing the claims brought by the union against the respondents Birch et al. in the Small Claims Branch.
The application judge granted the application, ordered that the Superior Court would not enforce the fine, and dismissed the union’s claim in the Small Claims Branch. The Court of Appeal, Juriansz J.A. dissenting, dismissed an appeal from that decision.

Relations du travail - Exécution d’une amende syndicale - Amende imposée par un tribunal syndical pour un manquement à la constitution du syndicat - L’amende est-elle exécutoire?
Les intimés M. Birch et al., qui étaient membres du syndicat demandeur, ont franchi le piquet de grève du syndicat pour se rendre au travail pendant une grève légale. Le syndicat a intenté des procédures disciplinaires contre eux pour avoir violé la constitution du syndicat en travaillant pendant une grève légale, les a exclu du syndicat pour une période de trois ans (une année pour chaque jour où ils ont franchi le piquet de grève), et a imposé à chacun d’eux une amende équivalente à leur salaire brut (476,75 $) pour les trois jours où ils ont franchi le piquet de grève. Lorsqu’ils ont refusé de payer leurs amendes, le syndicat a cherché à exécuter le paiement en Cour supérieure de justice, division des petites créances. Les parties ont convenu que l’affaire devait procéder par voie de demande introduite par les intimés M. Birch et al. en Cour supérieure sur un exposé conjoint des faits sous forme de cause type. La demande visait à obtenir ce qui suit : (1) un jugement déclarant que la Cour supérieure n’avait pas compétence pour exécuter les dispositions de la constitution d’un syndicat qui prévoyaient des amendes ou des pénalités financières contre un membre du syndicat; (2) à titre subsidiaire, un jugement déclarant que le tribunal n’avait pas compétence pour exécuter les amendes imposées par le syndicat; (3) le rejet des demandes introduites par le syndicat contre les intimés M. Birch et al. à la division des petites créances.
Le juge saisi de la demande a accueilli celle-ci et a statué que la Cour supérieure n’exécuterait pas l’amende et a rejeté la demande du syndicat à la division des petites créances. La Cour d’appel, le juge Juriansz étant dissident, a rejeté l’appel de cette décision.

The Applicant was convicted of sexual assault and sexual touching based in part on the testimony of the child complainants who were eight and eleven years old at trial. Both children testified from behind a screen. One child was assisted by a support person during part of her cross‑examination. Both children testified on a promise to tell the truth. Pursuant to amendments to the Criminal Code, R.S.C. 1985, c. C‑45 and the Canada Evidence Act, R.S.C. 1985, c. C‑5, effective January 2, 2006, there were no pre‑testimony inquiries into the need for testimonial aids or the testimonial competency of the children. The Applicant brought a constitutional challenge to s. 486.2 of the Criminal Code and s. 16.2 of the Canada Evidence Act, arguing that the new procedures introduced by the amendments violate ss. 7 and 11(d) of the Charter.

Le demandeur a été déclaré coupable d’agression sexuelle et d’attouchements sexuels sur le fondement, en partie, de témoignages des enfants plaignants, âgés de huit et de onze ans au procès. Les deux enfants ont témoigné derrière un écran. Une des enfants a été aidée par une personne de confiance pendant une partie de son contre-interrogatoire. Les deux enfants ont témoigné sur une promesse de dire la vérité. En vertu de modifications au Code criminel, L.R.C. 1985, ch. C‑45 et à la Loi sur la preuve au Canada, L.R.C. 1985, ch. C‑5, en vigueur le 2 janvier 2006, il n’y a eu aucune enquête préalable aux témoignages sur le besoin de dispositifs ou sur la compétence à témoigner des enfants. Le demandeur a introduit une contestation constitutionnelle de l’art 486.2 du Code criminel et de l’art. 16.2 de la Loi sur la preuve au Canada, plaidant que les nouvelles procédures introduites par les modifications violent l’art. 7 et l’al. 11 d) de la Charte.

Labour relations - Enforcement of union penalty in civil courts - Fines assessed against trade union members by a union trial board established under the union’s constitution - Whether a trade union may seek enforcement of unpaid fines or penalties in the civil courts as a debt or damages or otherwise.
The Applicant Telecommunications Workers Union Local 202 (the “union”) sought to enforce fines levied by it following disciplinary proceedings against the Respondents who are union members and employees of Telus Communications Inc. The Respondents MacMillan et al. brought preliminary applications before the provincial court to dismiss the union’s claims.
The Respondents crossed their union’s picket lines during a legal strike and were “charged” with violating the union’s constitution. A union trial board was convened and following hearings, the Respondents, none of whom attended to answer the “charges”, were found “guilty” and fined for “cause detrimental to the welfare of the Union” and for crossing or working behind a picket line. None of the Respondents paid the fine and two were suspended from the union. The union sued the Respondents in provincial court civil division, seeking a judgment in debt or, alternatively, damages to enforce the trial board’s fines, together with interest.
LeGrandeur Prov. Ct. J. decided that, while the Trade Unions Act, R.S.C. 1985, c. T-14, did not preclude the union from advancing its claims before the provincial court, the union’s claims were not an action in either debt or damages, that no cause of action arose at common law or by statute authorizing the unions enforcing its disciplinary penalties in a court of law, and that neither the union’s constitution nor by-laws authorized it to seek redress in the courts for an internal disciplinary matter. Erb J., on appeal in the Alberta Court of Queen’s Bench (Calgary), dismissed an appeal from that judgment. No appeal lay from this judgment.

Le syndicat ouvrier demandeur a demandé l’exécution d’amendes qu’il a imposées à la suite de procédures disciplinaires contre les intimés qui sont membres du syndicat et employés de Telus Communications Inc. Les intimés M. MacMillan et al. ont présenté des demandes préliminaires à la Cour provinciale pour le rejet des demandes du syndicat.
Les intimés ont franchi les lignes de piquetage de leur syndicat pendant une grève légale et ont été « accusés » d’avoir violé la constitution du syndicat. Un tribunal syndical a été convoqué et à la suite d’audiences, les intimés, dont aucun n’a comparu pour se défendre contre les « accusations », ont été déclarés « coupables » et ont été mis à l’amende pour [traduction] « cause préjudiciable au bien-être du syndicat » et pour avoir franchi un piquet de grève ou travaillé derrière ce piquet. Aucun intimé n’a payé l’amende et deux d’entre eux ont été temporairement exclus du syndicat. Le syndicat a poursuivi les intimés en Cour provinciale, sollicitant un jugement de recouvrement de créance ou, à titre subsidiaire, des dommages-intérêts pour exécuter les amendes imposées par le tribunal syndical, avec intérêts.
Le juge LeGrandeur a statué que même si la Loi sur les syndicats ouvriers, L.R.C. 1985, ch. T-14, n’empêchait pas le syndicat de faire valoir ses réclamations en Cour provinciale, ces réclamations ne constituaient pas une action pour dette ou en dommages-intérêts, qu’il n’y avait aucune cause d’action en common law ou en vertu de la loi autorisant les syndicats à exécuter leurs pénalités disciplinaires devant une cour de justice et que ni la constitution du syndicat, ni ses règlements ne l’autorisaient à demander un redressement devant les tribunaux pour une question disciplinaire interne. Le juge Erb, en appel à la Cour d’appel de l’Alberta (Calgary), a rejeté l’appel de ce jugement. Aucun appel ne pouvait être interjeté de ce jugement.

The Applicant suffered an injury from a work‑related accident while working as a roofer. He applied to the Workplace Safety and Insurance Board for benefits, which are calculated in relation to a worker’s earnings. The Applicant ultimately appealed his award of benefits to the Respondent. The main issue concerned the calculation of his “loss of earnings” benefits, and whether his employer’s contributions to his health, welfare and pension employment benefits should be included when calculating the worker’s pre‑accident earnings. The Board and the Respondent ruled that they were not.

Le demandeur a subi une blessure à la suite d’un accident du travail alors qu’il travaillait comme couvreur. Il a demandé des prestations à la Commission de la sécurité professionnelle et de l’assurance contre les accidents du travail; ces prestations sont calculées en fonction des gains du travailleur. Le demandeur a fini par interjeter appel à l’intimé relativement au montant des prestations qui lui a été accordé. La principale question en litige avait trait au calcul de ses prestations pour « perte de gains », c’est-à-dire de savoir si les cotisations de son employeur à ses avantages rattachés à l’emploi en matière de santé, de bien-être et de pension devaient être comprises dans le calcul des gains du travailleur avant l’accident. La Commission et le Tribunal ont répondu par la négative à cette question.

In 2004, Dobreff was a graduate student in the engineering program at the University of Western Ontario, where he was engaged in a research project in collaboration with other students, including the Respondent, Ginsburg. Each student was required to execute an Assignment and Confidentiality Agreement as a prerequisite to participating in the project. Dobreff signed this agreement on April 6, 2004. In 2006, Dobreff complained to the University that Ginsburg had plagiarized his work. On May 31, 2006, he brought an action in Small Claims Court against Ginsberg, claiming $10,000 for copyright infringement and plagiarism. The Respondent denied the allegations and brought a motion for summary judgment.

The Applicant was travelling by ferry from Nova Scotia to Newfoundland. On the ferry, police officers removed from the Applicant’s vehicle a spare tire in which marijuana had been stowed. The police acted pursuant to a general warrant authorizing them to make such a seizure and to mimic a theft if necessary. The Applicant was charged with two counts of conspiracy to traffic and one count of trafficking in cannabis marijuana contrary to s. 465(1)(c) of the Criminal Code and s. 5(1) of the Controlled Drugs and Substances Act. In a pre-trial application, the Applicant applied to have the charges stayed or the marijuana excluded from the evidence on the basis that his Charter rights had been violated. The trial judge found a violation of the Applicant’s rights under ss. 7 and 8 of the Charter and ordered the evidence excluded at trial. The Crown led no evidence at trial and the Applicant was acquitted. The Court of Appeal granted the appeal and ordered a new trial.

Le demandeur voyageait à bord d’un traversier de la Nouvelle-Écosse à Terre-Neuve. Sur le traversier, des policiers ont retiré du véhicule du demandeur une roue de secours dans laquelle de la marijuana avait été placée. Les policiers agissaient en vertu d’un mandat général qui les autorisait à faire cette saisie et à simuler un vol si nécessaire. Le demandeur a été accusé sous deux chefs de complot en vue de faire le trafic et un chef de trafic de cannabis (marijuana) contrairement à l’al. 465(1) c) du Code criminel et au par. 5(1) de la Loi réglementant certaines drogues et autres substances. Dans une demande préalable à l’instruction, le demandeur a demandé que les accusations soient suspendues ou que la marijuana soit exclue de la preuve du fait que les droits que lui garantit la Charte avaient été violés. Le juge de première instance a conclu que les droits du demandeur garantis par les art. 7 et 8 de la Charte avaient été violés et a ordonné l’exclusion de la preuve au procès. Le ministère public n’a présenté aucune preuve au procès et le demandeur a été acquitté. La Cour d’appel a accueilli l’appel et a ordonné un nouveau procès.

CASE SUMMARY
Civil procedure - Abuse of process - Frivolous and vexatious proceedings - Whether the Court of Appeal erred in refusing to admit fresh evidence and in affirming the motion judge’s decision to strike the statement of claim and to dismiss the action in its entirety.
Peter Hartmann and Jaroslava Frantel separated in 1999, having begun cohabiting in 1979 and marrying in 1985. In 1999, Ms. Frantel issued a petition for divorce. Years of legal proceedings followed in which Julie Amourgis was Ms. Frantel’s counsel. Two main issues arose: the first being the division of matrimonial property and spousal support, the second being proceedings to enforce support orders. Ms. Frantel was awarded interim exclusive possession of the matrimonial home and interim support. Mr. Hartmann’s failure to pay prompted an order to strike his pleadings, which resulted in him having no standing to make submissions when the matter of division of marital property and on‑going support came on for final determination. Ms. Frantel obtained an order for lump sum spousal support, owing to Mr. Hartmann’s complete disregard for earlier court orders. Mr. Hartmann’s appeal to the Court of Appeal was dismissed and his subsequent application for leave to appeal to the Supreme Court of Canada was also dismissed. The Director of the Family Responsibility Office then commenced enforcement proceedings against Mr. Hartmann for the interim support. An order, citing specifically Mr. Hartmann’s failure to make full and frank disclosure of his financial affairs was made and arrears were fixed at $45, 337.58, to be discharged in full by June 30, 2005, failing which Mr. Hartmann was to be imprisoned for a period of 90 days. Mr. Hartmann’s appeal was dismissed. Thereafter, Mr. Hartmann commenced the present action by way of statement of claim alleging, inter alia, fraud, professional misconduct, conspiracy and obstruction of justice, against the various named defendants. The defendants brought a motion to strike the statement of claim and to dismiss the action on the basis that is frivolous, vexatious or otherwise an abuse of the process of the court.
The Ontario Superior Court of Justice granted the motion, striking the statement of claim and dismissing the action in its entirety. The Court of Appeal dismissed a motion to admit fresh evidence and dismissed the appeal.

RÉSUMÉ DE L’AFFAIRE
Procédure civile - Abus de procédure - Procédures futiles et vexatoires - La Cour d’appel a-t-elle eu tort de refuser d’admettre de nouveaux éléments de preuve et de confirmer la décision du juge saisi de la motion de radier la déclaration et de rejeter l’action au complet?
Peter Hartmann et Jaroslava Frantel se sont séparés en 1999, après avoir vécu ensemble depuis 1979 et s’être mariés en 1985. En 1999, Mme Frantel a demandé le divorce. Il y a ensuite eu des procédures judiciaires qui ont duré plusieurs années au cours desquelles Me Julie Amourgis a agi comme avocate de Mme Frantel. Il y avait deux principales questions en litige : il y eut premièrement le partage des biens matrimoniaux et la pension alimentaire pour le conjoint et, deuxièmement, les procédures d’exécution des ordonnances alimentaires. Madame Frantel s’est vu accorder la possession exclusive provisoire du foyer conjugal et des aliments provisoires. Le non-paiement par M. Hartmann a entraîné une ordonnance de radiation de ses actes de procédure ce qui le privait de la qualité pour présenter des observations lorsque la question du partage des biens matrimoniaux et des aliments pour l’avenir devait être tranchée définitivement. Madame Frantel a obtenu une ordonnance de pension alimentaire sous forme de somme forfaitaire compte tenu du mépris total dont M. Hartmann avait fait preuve à l’égard des ordonnances judiciaires antérieures. L’appel de M. Hartmann à la Cour d’appel a été rejeté et sa demande subséquente d’autorisation d’appel à la Cour suprême du Canada a été rejetée aussi. Le directeur du Bureau des obligations familiales a alors introduit des procédures d’exécution contre M. Hartmann pour les aliments provisoires. Une ordonnance mentionnant explicitement le fait que M. Hartmann n’avait pas fait une divulgation fidèle et complète de sa situation financière a été rendue et des arriérés de 45 337,58 $ ont été fixés, payables au complet au plus tard le 30 juin 2005, à défaut de quoi M. Hartmann devait être emprisonné pour une période de 90 jours. L’appel de M. Hartmann a été rejeté. Par la suite, M. Hartmann a intenté l’action en l’espèce par voie de déclaration alléguant notamment la fraude, une faute professionnelle, un complot et l’entrave à la justice, contre les divers défendeurs désignés. Les défendeurs ont présenté une motion en rejet de la déclaration et en rejet de l’action au motif que celle-ci était futile, vexatoire ou un recours abusif au tribunal.
La Cour supérieure de justice a accueilli la motion, radié la déclaration et rejeté l’action au complet. La Cour d’appel a rejeté la motion en vue d’admettre de nouveaux éléments de preuve et a rejeté l’appel.

The Respondent Heirloom Clock leased premises from the Applicant Kieswetter but never took possession of them. Rather, unknown to Kieswetter, the Respondent Heirloom signed a second lease for another premises. The Respondent Dobes was at all material times the sole shareholder, president and controlling mind of Heirloom. The Applicant Kieswetter brought an action for breach of contract, seeking damages against the Respondents Heirloom and Dobes personally for breach of contract. After commencement of the action, the Respondent Art of Time Ltd. purchased Heirloom’s assets and was added as a defendant when Kieswetter learned of the transaction. The Applicant Kieswetter sought damages and punitive damages and declarations that the asset sale was made to defeat its action and contrary to the Fraudulent Conveyances Act, R.S.O. 1990, c. F.29, that Dobes was unjustly enriched, that Art of Time held assets and Dobes held monies in trust for Kieswetter. Walters J. granted the Applicant Kieswetter damages against the Respondents Heirloom and Dobes jointly and severally for the breach of the lease agreement and dismissed the action against Art of Time Limited. The Court of Appeal allowed Dobes’ appeal as to his personal liability and dismissed Kieswetter’s appeal respecting unjust enrichment and fraudulent conveyance. Heirloom abandoned its appeal.

L’intimée Heirloom Clock a loué des lieux de la demanderesse Kieswetter mais n’en a jamais pris possession. À l’insu de Kieswetter, l’intimée Heirloom a plutôt signé un deuxième bail ayant pour objet d’autres lieux. L’intimé M. Dobes était, à toutes les époques en cause, l’unique actionnaire, président et âme dirigeante de Heirloom. La demanderesse Kieswetter a intenté une action en dommages-intérêts pour violation de contrat contre Heirloom et M. Dobes, à titre personnel. Après l’introduction de l’action, l’intimée Art of Time Ltd. a acheté l’actif de Heirloom et a été jointe comme défenderesse lorsque Kieswetter a pris connaissance de l’opération. La demanderesse Kieswetter a demandé des dommages-intérêts, des dommages-intérêts punitifs et un jugement déclarant que la vente d’actif avait été faite pour frustrer son action et en contravention à la Loi sur les cessions en fraude des droits des créanciers, L.R.O. 1990, ch. F.29, que M. Dobes s’était enrichi injustement, que Art of Time détenait des biens et que M. Dobes détenait des sommes d’argent en fiducie pour Kieswetter. Le juge Walters a accordé à la demanderesse Kieswetter des dommages-intérêts contre les intimés Heirloom et M. Dobes conjointement et individuellement pour la violation du bail et a rejeté l’action contre Art of Time Limited. La Cour d’appel a accueilli l’appel de M. Dobes quant à sa responsabilité personnelle et a rejeté l’appel de Kieswetter relativement à l’enrichissement injustifié et au transport frauduleux. Heirloom a abandonné son appel.
