Freedom of expression - Division of powers - Provincial power to make regulations to protect the dairy industry against competitors - Obligation to exercise delegated powers in accordance with international and interprovincial agreements - Whether s. 40(1)(c) of the Regulation respecting dairy products and substitutes, R.R.Q. 1981, c. P-30, r. 15, by imposing restrictions on the colour of margarine sold and distributed in the Province of Quebec, is ultra vires the powers of the Government of Quebec in light of the North American Free Trade Agreement, the Agreement establishing the World Trade Organization and the Agreement on Internal Trade - Whether the impugned Regulation violates the guarantee of freedom of expression - Whether the Superior Courts have jurisdiction to declare legislation invalid due to unreasonableness - Whether the Regulation is contrary to the principles of Canadian federalism.
By the combined effect of s. 29 and 42 of the Dairy Products Substitutes Act, R.S.Q., c. P-30, and of s. 40(1)(c) of the Regulation Respecting Dairy Products Substitutes, R.R.Q., 1981, c. P-30, r. 15, the sale or offering for sale in Quebec of butter-coloured margarine is prohibited. On January 8, 1997, the Respondent Ministère de l’Agriculture, des Pêcheries et de l’Alimention published in the Gazette officielle du Québec a notice and a draft regulation providing for the repeal of s. 40(1)(c). The draft regulation was never enacted by the Government.
In November 1997, the Appellant imported form the United States and delivered to a retail distributor in Quebec, some 480 containers of margarine which it had manufactured in the U.S and whose colour did not conform to the requirements of s. 40(1)(c) of the Regulation. On November 24, 1997, inspectors from the Respondent Ministère de l’Agriculture, des Pêcheries et de l’Alimentation of Quebec seized 384 containers from the shipment. The Appellant then sought from the Superior Court to have the seizures quashed, and also sought a declaratory judgment to have s. 40(1)(c) declared null, unconstitutional, invalid, inoperable, unreasonable and contrary to Canadian federalism.
On May 26, 1999, the Superior Court quashed the seizures, but held that the impugned provision was valid. On October 1, 2003, the Court of Appeal upheld the decision.

Liberté d’expression – Partage des compétences – Pouvoir d’une province de prendre des règlements visant à protéger l’industrie laitière de la concurrence – Obligation d’exercer les pouvoirs délégués en conformité avec les accords internationaux et interprovinciaux – L’alinéa 40(1)c) du Règlement sur les succédanés de produits laitiers, R.R.Q. 1981, ch. P-30, r. 15, qui impose des restrictions quant à la couleur de la margarine vendue et distribuée dans la province de Québec, outrepasse-t-il de ce fait les pouvoirs du gouvernement du Québec au regard de l’Accord de libre-échange nord-américain, de l’Accord instituant l’organisation mondiale du commerce et de l’Accord sur le commerce intérieur? – La disposition réglementaire attaquée viole-t-elle la garantie de la liberté d’expression? – Les cours supérieures ont-elles compétence pour déclarer des dispositions réglementaires invalides en raison de leur caractère déraisonnable? – Le Règlement est-il contraire aux principes du fédéralisme canadien?
Par l’effet conjugué des art. 29 et 42 de la Loi sur les produits laitiers et leurs succédanés, L.R.Q., c. P-30 et de l’al. 40(1)c) du Règlement, il est interdit de vendre ou d’offrir en vente, au Québec, de la margarine ayant la couleur du beurre. Le 8 janvier 1997, l’intimé, le ministère de l’Agriculture, des Pêcheries et de l’Alimentation, a publié dans la Gazette officielle du Québec un avis et un projet de règlement portant abrogation de l’al. 40)1)c). Le règlement proposé n’a jamais été pris par le gouvernement.
En novembre 1997, l’appelante a importé des États-Unis et livré à un distributeur au détail québécois environ 480 conteneurs de margarine fabriquée aux États-Unis et dont la couleur ne satisfaisait pas aux exigences de l’al. 40(1)c) du Règlement. Le 24 novembre 1997, des inspecteurs du ministère intimé ont saisi 384 des conteneurs en question. L’appelante a alors demandé à la Cour supérieure d’annuler la saisie et de déclarer l’al. 40(1)c) nul, inconstitutionnel, invalide, inopérant, déraisonnable et contraire aux principes du fédéralisme canadien.
Le 26 mai 1999, la Cour supérieure a annulé les saisies mais conclu à la validité de la disposition attaquée. Le 1er octobre 2003, la Cour d’appel a confirmé cette décision.
