32673 Erika S. Tiedemann v. BCE Inc., 6796508 Canada Inc. ‑ and ‑ Director appointed pursuant to the CBCA (Que.) (Civil) (By Leave)
Civil procedure - Parties - Standing - Whether the lower courts erred in holding that Ms. Tiedemann was not a party to the proceedings - Whether the Court of Appeal erred in dismissing the notice of appeal.
The dispute arises in the context of the judicial proceedings seeking judicial approval of the plan of arrangement proposed to BCE’s shareholders in SCC File No. 32647. The plan contemplates the sale of BCE to the Respondent 6796508 Canada Inc. Ms. Tiedemann claims to be a shareholder of BCE.
On August 10, 2007, the Superior Court issued an interim order requiring BCE to submit the proposed plan of arrangement to a vote by its shareholders. After the shareholders approved the plan, BCE indicated that a final order with respect to the plan would be sought. The interim order provided that for the purposes of the hearing of the motion for final order, only BCE, 6986508 and the director appointed pursuant to the CBCA would be entitled to appear. Other persons wishing to appear or contest the motion for final order were required to file and serve written appearances and/or contestations within a particular time frame. Groups of debenture holders currently before the Court in the BCE appeals scheduled to be heard on June 17, 2008, availed themselves of this opportunity. Before the hearing on the motion for final order, but after the prescribed time had elapsed, Ms. Tiedemann filed a “Notice of Appearance”. During the hearing, Silcoff J. indicated that although Ms. Tiedemann was not a party to the proceedings since her notice of appearance had not followed the procedure set out in the interim order, she was nevertheless allowed to make representations as an interested shareholder, by consent of the parties and in the interest of justice.
In a judgment on the motion for final order, Silcoff J. approved the plan of arrangement. Ms. Tiedemann filed a “Notice of Appeal” to the Court of Appeal, and BCE responded with a motion to quash, alleging that (1) the notice had been filed beyond the applicable limitation period; (2) Ms. Tiedemann had no right to institute an appeal of the judgment on the merits as she was not a party; and (3) in any event the “Notice” had no reasonable chance of success and was improper and dilatory. The Court of Appeal dismissed the “Notice of Appeal”.

Procédure civile - Parties - Qualité pour agir - Les tribunaux d’instance inférieure ont-ils commis une erreur en jugeant que Mme Tiedemann n’était pas une partie à l’instance? - La Cour d’appel a‑t‑elle commis une erreur en rejetant l’avis d’appel?
Le litige prend naissance dans le contexte de procédures destinées à obtenir l’approbation judiciaire du projet d’arrangement soumis aux actionnaires de BCE dans le dossier de la CSC no 32647. Ce projet prévoit la vente de BCE à l’intimée 6796508 Canada Inc. Madame Tiedemann prétend qu’elle est une actionnaire de BCE.
Le 10 août 2007, la Cour supérieure a rendu une ordonnance provisoire enjoignant à BCE de soumettre le projet d’arrangement au vote de ses actionnaires. Après que les actionnaires eurent approuvé le projet, BCE a indiqué qu’elle solliciterait une ordonnance finale concernant ce projet. L’ordonnance provisoire prévoyait que, pour les besoins de l’audition de la demande d’ordonnance finale, seuls BCE, 6986508 et le directeur nommé en vertu de la LCSA pourraient comparaître. Les autres personnes souhaitant comparaître ou contester la demande d’ordonnance finale devaient déposer et signifier des actes de comparution ou de contestation dans un délai précis. Les groupes de porteurs de débentures qui sont déjà devant la Cour dans les pourvois de BCE dont l’audition doit avoir lieu le 17 juin 2008, ont saisi cette occasion. Avant l’audition de la demande d’ordonnance finale, mais après l’expiration du délai prescrit, Mme Tiedemann a déposé un « avis de comparution ». Au cours de l’audience, le juge Silcoff a indiqué que, bien que Mme Tiedemann ne fût pas une partie à l’instance étant donné que son avis de comparution n’était pas conforme à la procédure énoncée dans l’ordonnance provisoire, elle était néanmoins autorisée à présenter des observations en qualité d’actionnaire intéressée, avec le consentement des parties et dans l’intérêt de la justice.
Dans un jugement portant sur la demande d’ordonnance finale, le juge Silcoff a approuvé le projet d’arrangement. Madame Tiedemann a déposé un « avis d’appel » à la Cour d’appel, et BCE a répondu par une demande d’annulation, alléguant (1) que l’avis avait été déposé après l’expiration du délai applicable, (2) que Mme Tiedemann n’avait aucun droit d’interjeter un appel au fond contre le jugement étant donné qu’elle n’était pas une partie, et (3) que, de toute façon, l’« avis » était abusif et dilatoire et n’avait aucune chance raisonnable d’être accepté. La Cour d’appel a rejeté l’« avis d’appel ».
