Civil Code of Québec - Interpretation -Suretyship - Commercial law- Contracts - Creditor and debtor - Art. 2363 of the Civil Code of Québec - Art. 1953 and 1954 of the Civil Code of Lower Canada - Whether the Court of Appeal has erred in law in taking no account of the suppletive character of article 2363 C.C.Q. and in making the application of this article dependent on the existence of an agreement by the surety and the creditor confirming their intention to be subject to it. - Whether the Court of Appeal has erred in law in holding that article 2363 C.C.Q. should be given a restrictive interpretation and thus negating the protection afforded by this article to sureties, which protection was clearly intended by the legislator. - Whether the Court of Appeal has erred in law in failing to rule on fundamental questions relating to the duty of the creditor to provide the surety with useful information and to the benefit of subrogation, even though these are matters of public order.
In May 1993, the Appellant Georges Reid became a 35% shareholder of Services Alimentaires B.S.L. Inc (BSL.), agreed to sit on its Board of Directors and take charge of its books. BSL. is a wholesale food distributor in the Rimouski region.
A contract for the supply of food products was entered into by the Respondent Les Épiciers Unis Métro-Richelieu Inc. and BSL. The Appellant agreed in this contract to stand surety for the obligations of BSL.
In May 1993, the Appellant took a new job in Quebec City and, as a result, resigned from the Board of Directors and disposed of his shares. Sometime after, BSL. got into some financial difficulties. In October 1994, the Respondent contacted the Appellant for the payment of $ 43,414.38. The Appellant refused to pay the claimed amount on the ground that the suretyship had been terminated upon his resignation from BSL.
The Respondent sued the Appellant on the suretyship. The Superior Court dismissed the claim on the basis that the Appellant was not responsible for debts contracted by BSL. after his departure. The Court of Appeal annulled the judgment of the lower court.

Code civil du Québec - Interprétation - Cautionnement - Droit commercial - Contrats - Créancier et débiteur - Art. 2363 Code civil du Québec - Art. 1953, 1954 du Code civil du Bas-Canada - La Cour d’appel a-t-elle commis une erreur de droit en éludant le caractère supplétif de l’article 2363 C.c.Q. et en rendant plutôt son application tributaire de l’existence d’une entente confirmant la volonté de la caution et du créancier d’y être assujettis? - La Cour d’appel a-t-elle commis une erreur de droit en affirmant que l’article 2363 C.c.Q. devait être interprété de façon restrictive, niant ainsi le caractère protecteur de cette disposition et l’intention manifeste du législateur? - La Cour d’appel a-t-elle commis une erreur de droit en omettant de statuer sur deux questions fondamentales, relatives au devoir d’information et au bénéfice de subrogation?
En mai 1992, l’appelant Georges Reid souscrivait à 35 % des actions des Services Alimentaires B.S.L. Inc (B.S.L.) et en devenait, par le fait même, actionnaire. Par la même occasion, l’appelant acceptait de siéger au conseil d’administration tout en étant chargé de la comptabilité. B.S.L. est une entreprise de distribution d’aliments en gros dans la région de Rimouski.
Une convention est signée entre l’intimée, les Épiciers Unis Métro-Richelieu Inc, et B.S.L. pour la fourniture de produits alimentaires. Lors de cette convention, l’appelant se portait caution des obligations de B.S.L.
En mai 1993, l’appelant acceptait un nouveau poste à Québec. Ce nouvel emploi obligeait l’appelant à démissionner de son poste d’administrateur et à se départir de ses actions. Quelques temps après le départ de l’appelant, B.S.L. éprouvait des difficultés financières. En octobre 1994, l’intimée communiquait avec l’appelant et lui réclamait une somme de 43 414,38 $ à titre de caution. L’appelant a refusé de payer le montant réclamé alléguant être libéré de ses obligations en raison de sa démission.
L’intimée a intenté une action afin d’obtenir le paiement dû en vertu du contrat cautionnement qui le liait à l’appelant. La Cour supérieure a rejeté l’action, considérant que l’appelant ne pouvait être responsable d’une créance contractée après son départ. La Cour d’appel, à la majorité, a infirmé le jugement de première instance.
