Commercial law – Legislation – Interpretation – Insurance – Contracts – Subrogation – Whether the Court of Appeal erred in not declaring a subrogation clause, which allows the subrogation against the insured of the insurer which has paid the hypothecary creditor and claims that - as to the owner of the immovable - no liability therefor existed, void. – Whether the Appelant is a member of the household of the insured within the meaning of article 2474 of the Civil Code of Québec.
The Appellant owned an immovable property, purchased on November 12, 1997, that was destroyed by fire. The Chibougamau Caisse populaire Desjardins, as a creditor, held two hypothecs on the Appellant’s property, one published on May 23, 1997, and the other on June 11, 1998.
On September 9, 1998, an insurance contract was entered into between the Appellant and the Respondents for the period from October 25, 1998 to October 25, 1999. This contract contained a hypothecary guarantee clause. Following the fire in the Appellant’s property, the Respondents, pursuant to this clause, paid in full the hypothecs granted by the Caisse. The Respondents denied compensation to the Appelant holding it responsible for the fire. The disputed claim is currently before the Superior Court.
On November 28, 2000, the Respondents served a letter on the Appellant to notify it of the subrogation granted to the Caisse.
On November 29, the Caisse signed an acquittance of the hypothecs in favour of the Appellant to the effect that the Caisse has received all the money owed by the Appellant pursuant to the hypothecary loans. The acquittance was published the next day.
On December 4, 2000, the Respondents and the Caisse executed an act of subrogation, which was registered the next day.
On December 7, 2000, the Appellant sold its property to Walter Pawlikowski. The deed of sale was published the next day. In this deed, the Appellant states that the property is free and clear of any hypothec, levy or charge, and it undertakes to have the registration of the act of subrogation published on December 5, 2000 cancelled.
On February 1, 2001, the Appellant moved to have the registration on the land register cancelled. The Superior Court allowed the motion and ordered the cancellation of the registration of the act of subrogation registered on December 5, 2000. The Court of Appeal allowed the Respondents’ appeal, overturned the judgment below and dismissed the motion to have the registration cancelled.

Droit commercial - Législation - Interprétation - Assurance ‑ Contrats - Subrogation ‑ La Cour d'appel a‑t‑elle erronément refusé de déclarer la clause de subrogation nulle, et contraire à l'article 2474 du Code civil du Québec alors qu'elle permet une subrogation de l'assureur contre sa propre assurée, dès qu'elle se croit justifiée d'opposer un motif de non garantie ? - L’assurée est-elle une personne faisait partie de sa maison au sens de l’article. 2474 du Code civil du Québec ?
L’appelante est propriétaire d'un immeuble acquis le 12 novembre 1997. Au moment où l'immeuble est ravagé par un incendie, la Caisse populaire Desjardins de Chibougamau détient, à titre de créancière, deux hypothèques sur l'immeuble de l’appelante, l'une publiée le 23 mai 1997 et l'autre le 11 juin 1998.
Le 9 septembre 1998, un contrat d'assurance est intervenu entre l’appelante et les intimée pour la période du 25 octobre 1998 au 25 octobre 1999. Ce contrat contient une clause de garanties hypothécaires. À la suite de l'incendie de l'immeuble de l’appelante, les intimées ont, en vertu de l'application de cette clause, acquitté les prêts hypothécaires consentis par la Caisse populaire Desjardins de Chibougamau, qui totalisaient 224 860, 40$ en capital et intérêts.
Le 28 novembre, les intimées signifient une lettre à l’appelante dans laquelle, elles l'avisent de la subrogation consentie à la Caisse populaire Desjardins de Chibougamau.
Le 29 novembre, la Caisse populaire Desjardins de Chibougamau signe une quittance en faveur de l'appelante, laquelle est publiée le 30 novembre 2000. La quittance indique que la Caisse populaire Desjardins de Chibougamau a reçu toutes les sommes dues par l’appelante aux termes des prêts hypothécaires.
Le 4 décembre 2000, les intimées et la Caisse populaire Desjardins de Chibougamau signent un acte de subrogation qui est enregistrée le 5 décembre 2000 sur le registre foncier.
Le 7 décembre 2000, l’appelante vend son immeuble à Walter Pawlikowski. L'acte de vente est publié le 8 décembre 2001 et dans cet acte, l’appelante déclare que l'immeuble est libre de tout privilège, hypothèque, redevance ou charge quelconque et elle s'engage à faire radier l'acte de subrogation publié le 5 décembre 2000.
Le 1er février 2001, l’appelante intente une requête en radiation d'une inscription sur le registre foncier. La Cour supérieure accueille la requête et ordonne la radiation de l'inscription de l'acte subrogatoire enregistré le 5 décembre 2000. La Cour d'appel accueille le pourvoi des intimées, infirme le jugement de première instance et rejette la requête en radiation d'une inscription sur le registre foncier.
