All shares of Leisureland were owned by Marr’s Leisure Holdings Inc. (“Marr’s”) and 62.16% of the shares of Marr’s were owned by William and Noah Marr. [...] However, on the same day, Duha 2 and its shareholders signed an unanimous shareholders’ agreement that stipulated, among other things that the affairs of Duha 2 were to be managed by a Board of Directors comprised of any three of Mr. Duha, Mrs. Duha, William Marr and Paul Quinton (a friend of Mr. Duha).
