In Superior Court, the Respondent sued jointly and severally five persons in various capacities and for different amounts. Claims were filed against two corporations for the balances owed on their bank transactions and credit margins. Claims were made against two individuals, Robert Mandel and Gabriel Segal, as guarantors for the two corporations. The Appellant was sued as hypothecary guarantor for her husband Robert Mandel.
On October 19, 1994, the lawyers for the Respondent transmitted a settlement offer to the lawyers for the Appellant. On October 24, 1994, at the outset of the trial, the Appellant filed an amended statement of defence in which she alleged that, firstly, a transaction was entered on October 19 and, secondly, the Respondent had failed to take action upon this transaction.
The Superior Court judge condemned the corporations and their two guarantors to pay the sums claimed by the Respondent. The transaction was found by the trial judge to bind the Respondent and the Appellant; the Respondent was ordered to accept as constituting payment from the Appellant the amounts provided for in the transaction, namely $125,000 as to capital and $ 6,500 as to costs.
On October 22, 2002, the Court of Appeal upheld the trial judgement insofar as the Appellant was concerned. However, the Court of Appeal ordered the Appellant to pay the Respondent interests at the legal rate and the additional indemnity on these two sums, since the Appellant had failed to deposit, when required to do so, the sums owed pursuant to the settlement offer.
On November 25, 2002, the Court of Appeal denied the Appellant’s motion for leave to appeal to the Supreme Court of Canada and granted the Appellant a stay of execution on the judgment insofar as it applied to her.

L’intimée a poursuivi, conjointement et solidairement, cinq défendeurs à titres et pour des montants différents. Devant la Cour supérieure, deux sociétés étaient poursuivies pour le remboursement de leurs soldes d’opérations bancaires ou de marges de crédit. Deux particuliers, Robert Mandel et Gabriel Segal, étaient poursuivis à titre de caution des sociétés. L’appelante a, pour sa part, été poursuivie à titre de caution hypothécaire de son mari, Robert Mandel.
Le 19 octobre 1994, les procureurs de l’intimée ont envoyé une offre de règlement aux procureurs de l’appelante. Le 24 octobre 1994, à l’ouverture du procès, l’appelante dépose une défense amendée dans laquelle elle allègue, premièrement, l’existence d’une transaction intervenue le 19 octobre et, enfin, le refus de l’intimée de lui donner suite.
La Cour supérieure a condamné les sociétés et les deux cautions au paiement des montants dus. Elle a déclaré la transaction valide entre l’intimée et l’appelante et a ordonné à l’intimée de recevoir le paiement prévu à l’entente, soit une somme de 125 000 $ en capital et une autre de 6 500 $ à titre de frais.
Le 22 octobre 2002, la Cour d’appel a confirmé le jugement de première instance à l’égard de l’appelante, mais l’a condamné à verser à l’intimée des intérêt au taux légal et l’indemnité additionnelle, sur les deux sommes, en raison du défaut de l’appelante d’avoir consigné, au moment opportun, l’argent dû en vertu de l’offre de règlement.
Le 25 novembre 2002, la Cour d’appel a rejeté la requête de l’appelante en autorisation de pourvoi devant la Cour suprême du Canada, et a accordé à l’appelante un sursis d’exécution du jugement à son égard.
